Common use of Sanctions; Anti-Corruption Clause in Contracts

Sanctions; Anti-Corruption. (a) None of the Issuer, any of its Domestic Subsidiaries or any director, officer, or to the knowledge of the Issuer, any employee, agent, or affiliate of the Issuer or any of its Domestic Subsidiaries is an individual or entity (“person”) that is, or is owned or controlled by persons that are: (i) the subject of any sanctions administered or enforced by OFAC, the U.S. Department of State, the United Nations Security Council, the European Union, the Government of Canada, Her Majesty’s Treasury, or other relevant sanctions authority (collectively, “Sanctions”), or (ii) located, organized or resident in a country or territory that is, or whose government is, the subject of Sanctions (including Crimea, Cuba, Iran, North Korea and Syria).

(a) None of the IssuerBorrower, any of its Domestic Subsidiaries or any director, officer, or to the knowledge of the Issuer, any employee, agent, or affiliate of the Issuer Borrower or any of its Domestic Subsidiaries is an individual or entity (“person”) that is, or is owned or controlled by persons that are: (i) the subject of any sanctions administered or enforced by the U.S. Department of the Treasury’s Office of Foreign Assets Control (“OFAC”), the U.S. Department of State, the United Nations Security Council, the European Union, the Government of Canada, Her Majesty’s Treasury, or other relevant sanctions authority (collectively, “Sanctions”), or (ii) located, organized or resident in a country or territory that is, or whose government is, is the subject of Sanctions (including including, Crimea, Cuba, Iran, North Korea and Syria).

(a) None of the IssuerCredit Parties, any of its their Domestic Subsidiaries or any director, officer, or to the knowledge of the IssuerCredit Parties, any employee, agent, or affiliate of the Issuer any Credit Party or any of its Domestic Subsidiaries is an individual or entity (“person”) that is, or is owned or controlled by persons that are: (i) the subject of any sanctions administered or enforced by OFAC, the U.S. Department of State, the United Nations Security Council, the European Union, the Government of Canada, Her Majesty’s Treasury, or other relevant sanctions authority (collectively, “Sanctions”), or (ii) located, organized or resident in a country or territory that is, or whose government is, the subject of Sanctions (including Crimea, Cuba, Iran, North Korea and Syria).
