Sales Agent. Receipt by the Agent of evidence satisfactory to the Agent that (i) CBCNA is the agent of CBI for the sale of bananas, plantains and other items in the United States and that all money received by CBCNA in connection with such sales is received for the benefit of, and is the property of, CBI, (ii) CBCNA is no longer the agent of, and no longer collects any funds for or on behalf of, CBII, (iii) Xxxxxxxx (Canada) Inc. is the agent of CBI for the sale of bananas, plantains and other items in Canada and that all money received by Xxxxxxxx (Canada) Inc. in connection with such sales is received for the benefit of, and is the property of, CBI and (iv) Xxxxxxxx (Canada) Inc. is no longer the agent of, and no longer collects any funds for or on behalf of, CBII.
Sales Agent. For purposes of this Agreement, “Sales Agent” is any third-party agency, and/or its representatives, with which or whom the Company has contracted for the purpose of facilitating the sale of the Company’s products.
Sales Agent. Xxxxxxxxx agrees to act as non exclusive selling agent for Xxxx Xxxxxxxx and Xxxxxx Xxxx’x registered securities upon the effectiveness of Xxxxxx Xxxx’x registration statement filed with the SEC in Sept. 2011.
Sales Agent. Xxxxxxxxx agrees to act as non exclusive selling agent for Charlotte (1,000,000 shares) and Xxxxxxxx’x (8,000,000 shares) registered securities upon the effectiveness of Charlotte’s registration statement originally filed with the SEC on July 5, 2011. The parties agree that all of Charlotte’s 1,000,000 shares must be sold before Xxxxxxxx’x shares.
Sales Agent. A member firm of the New York Stock Exchange to be selected by Wings to conduct sales of Class A Voting Common Stock on behalf of holders of Series C Voting Preferred Stock in accordance with the procedures set forth in Section 1.9(a).
Sales Agent. Merrimac agrees to act as non exclusive selling agent for Petrus (2,000,000 shares) and O’ Dare’s (8,000,000 shares) registered securities upon the effectiveness of Petrus’s registration statement originally filed with the SEC on Sept. 16, 2011. The parties agree that all of Petrus’s 2,000,000 shares must be sold before O’ Dare’s shares.
Sales Agent acknowledges and agrees that any patent on the Products acquired by the Company or any of its subsidiaries and any patent applications on the Products filed by the Company or any of its subsidiaries (the “Patents”) are the sole and exclusive property of the Company and that throughout the term of this Agreement and following its termination or expiration, Sales Agent will not do anything inconsistent with such ownership, will not directly or indirectly challenge the title of the Company or any of its subsidiaries to the same and will not attack the validity of such Patents.
Sales Agent. The Agent shall have received evidence satisfactory to the Agent that (i) CBCNA is the agent of the Borrower for the sale of bananas, plantains and other items in the United States and that all money received by CBCNA in connection with such sales is received for the benefit of, and is the property of, the Borrower, (ii) CBCNA is no longer the agent of, and no longer collects any funds for or on behalf of, CBII, (iii) Chiquita (Canada) Inc. is the agent of the Borrower for xxx xxxx of bananas, plantains and other items in Canada and that all money received by Chiquita (Canada) Inc. in connection with such sales is xxxxxxxx for the benefit of, and is the property of, the Borrower and (iv) Chiquita (Canada) Inc. is no longer the agent of, and no xxxxxx collects any funds for or on behalf of, CBII.
Sales Agent. Notwithstanding anything to the contrary in this Agreement, Customer acknowledges and agrees that DSI has acted on Provider’s behalf under this Agreement in DSI’s limited capacity as Provider’s sales agent. Customer acknowledges and agrees that (i) Customer will process payment for all Annual Fees or expenses owing to Provider under this Agreement through DSI, as Provider’s collection agent, and not through Provider directly,
Sales Agent. (a) In its capacity as agent for the Purchaser, the Sales and Servicing Agent will act as the exclusive sales agent in connection with the distribution, exhibition and exploitation of the Transferred Media Assets.
