Common use of Sale or Exchange of Interest Clause in Contracts

Sale or Exchange of Interest. In the event of a sale or exchange of some or all of a Member's or Assignee's Economic Interest in the Company, the Capital Account of the transferring Member or Assignee shall become the Capital Account of the Assignee acquiring such Interest, to the extent it relates to the portion of the Economic Interest transferred.
