Common use of Rules; Jurisdiction Clause in Contracts

Rules; Jurisdiction. Any controversy, dispute or claim between the parties, including any controversy, dispute or claim arising out of, relating to or concerning this Agreement, the breach of this Agreement, the employment of the Executive, or the termination of the Executive's employment (a "Disputed Matter") will be resolved pursuant to this Section 9. This includes all claims whether arising in tort or contract and whether arising under statute or common law. Any such controversy, dispute or claim will be settled in Houston, Texas, in accordance with the applicable rules of the American Arbitration Association (the "AAA") then in effect; provided, however, that a breach of the obligations under Section 7 may be enforced by an action for injunctive relief and damages in a court of competent jurisdiction. If the rules of the AAA differ from any provisions of this Agreement, the provisions of this Agreement will control.
