Effective as of the execution and delivery of this Agreement, RiverNorth hereby irrevocably withdraws and rescinds each proposal and each director nomination that RiverNorth has put forth for consideration at the Company’s 2016 Annual Meeting of Stockholders (the “2016 Annual Meeting”).
