Common use of Rights as Stockholder Clause in Contracts

Rights as Stockholder. Neither Participant nor any person claiming under or through Participant will have any of the rights or privileges of a stockholder of the Company in respect of any Shares deliverable hereunder unless and until certificates representing such Shares will have been issued, recorded on the records of the Company or its transfer agents or registrars, and delivered to Participant. After such issuance, recordation and delivery, Participant will have all the rights of a stockholder of the Company with respect to voting such Shares and receipt of dividends and distributions on such Shares.

Rights as Stockholder. Neither Participant nor any person claiming under or through Participant will have any of the rights or privileges of a stockholder of the Company in respect of any Shares deliverable hereunder unless and until certificates representing such Shares (which may be in book entry form) will have been issued, recorded on the records of the Company or its transfer agents or registrars, and delivered to ParticipantParticipant (including through electronic delivery to a brokerage account). After such issuance, recordation and delivery, Participant will have all the rights of a stockholder of the Company with respect to voting such Shares and receipt of dividends and distributions on such Shares.

Rights as Stockholder. Neither the Participant nor any person claiming under or through the Participant will have any of the rights or privileges of a stockholder of the Company in respect of any Shares deliverable hereunder unless and until certificates representing such Shares will have been issuedissued (including in book entry), recorded on the records of the Company or its transfer agents or registrars, and and, if applicable, delivered to the Participant. After such issuance, recordation and delivery, Participant will have all the rights of a stockholder of the Company with respect to voting such Shares and receipt of dividends and distributions on such Shares.

After such issuance, recordation and delivery, the Participant will shall have all the rights of a stockholder of the Company with respect to voting such Shares and receipt of dividends and distributions on such Shares, if any.

After such issuance, recordation and delivery, the Participant will shall have all the rights of a stockholder of the Company with respect to voting such Shares and receipt of dividends and distributions on such Shares, if any.

Neither Participant nor any person claiming under or through Participant will have any of the rights or privileges of a stockholder of the Company Prologis in respect of any Shares Stock deliverable hereunder unless and until certificates representing such Shares Stock will have been issued, recorded on the records of the Company Prologis or its transfer agents or registrars, and delivered to Participant. After such issuance, recordation and delivery, Participant will have all the rights of a stockholder shareholder of the Company Prologis including with respect to voting such Shares Stock and receipt of dividends and distributions on such SharesStock.

Rights as Stockholder. Neither Participant the Employee nor any person claiming under or through Participant the Employee will have any of the rights or privileges of a stockholder of the Company in respect of any Shares deliverable hereunder unless and until certificates representing such Shares will have been issued, recorded on the records of the Company or its transfer agents or registrars, and delivered to Participant. After such issuance, recordation and delivery, Participant will have all the rights of a stockholder of Employee or the Company with respect to voting such Shares and receipt of dividends and distributions on such SharesEmployee’s broker.

Rights as Stockholder. Neither Participant nor any person claiming under or through Participant will have any of the rights or privileges of a stockholder of the Company in respect of any Shares deliverable hereunder unless and until certificates representing such Shares will have been issued, recorded on the records of the Company or its transfer agents or registrars, and delivered to Participant. After such issuance, recordation and delivery, Participant will have all the rights of a stockholder of the Company with respect to voting such Shares and the receipt of dividends and distributions on such Shares.

Rights as Stockholder. Neither Participant nor any person claiming under or through Participant will have any of the rights or privileges of a stockholder of the Company in respect of any Shares deliverable hereunder unless and until until, and only to the extent that, certificates representing such Shares will have been issued, recorded on the records of the Company or its transfer agents or registrars, and delivered to Participant. After such issuance, recordation and delivery, Participant will have all the rights of a stockholder of the Company with respect to voting such Shares and receipt of dividends and distributions on such Shares.

Rights as Stockholder. Neither the Participant nor any person claiming under or through the Participant will have any of the rights or privileges of a stockholder of the Company in respect of any Shares shares of Common Stock deliverable hereunder unless and until certificates representing such Shares shares will have been issued, recorded on the records of the Company or its transfer agents or registrars, and delivered to the Participant. After such issuance, recordation and delivery, Participant will have all the rights of a stockholder of the Company with respect to voting such Shares and receipt of dividends and distributions on such Shares.

Neither Participant nor any person claiming under or through Participant will have any of the rights or privileges of a stockholder of the Company in respect of any Shares deliverable hereunder unless and until certificates representing such Shares will have been issued, recorded on the records of the Company or its transfer agents or registrars, and delivered to ParticipantParticipant or the Escrow Agent. After Except as provided in Section 2(e), after such issuance, recordation and delivery, Participant will have all the rights of a stockholder of the Company with respect to such Shares, including voting such Shares and receipt of dividends and distributions on such Shares.

Neither the Participant nor any person claiming under or through the Participant will have any of the rights or privileges of a stockholder of the Company Alphabet in respect of any Shares shares of Capital Stock deliverable hereunder pursuant to the GSUs unless and until certificates representing such Shares will shares of Capital Stock have been issued, recorded issued on the records of the Company Alphabet or its transfer agents or registrars, and delivered to Participant. After such issuance, recordation and delivery, the Participant will have all the rights of as a stockholder of the Company Alphabet with respect to voting such Shares and receipt shares of dividends and distributions on such SharesCapital Stock.

After such issuance, recordation and delivery, Participant will have all the rights of a stockholder of the Company with respect to voting such Shares and receipt of dividends and distributions on such SharesRecipient.

After such issuance, recordation and delivery, Participant will have all the rights of a stockholder of the Company with respect to voting such Shares and receipt of dividends and distributions on such Shares.

Rights as Stockholder. Neither Participant nor any person claiming under or through Participant will shall have any of the rights or privileges of a stockholder holder of Common Shares with respect to the Company in respect of any Common Shares deliverable hereunder under this Option unless and until certificates representing such Shares will shares have been issued, recorded on the records of the Company or its transfer agents or registrars, and delivered to Participant. After such issuance, recordation recordation, and delivery, Participant will shall have all the rights of a stockholder shareholder of the Company with respect Company, including without limitation the right to voting such Shares vote and receipt of the right to receive dividends and distributions on such Common Shares.

Rights as Stockholder. Neither the Participant nor any person claiming under or through the Participant will have any of the rights or privileges of a stockholder of the Company in respect of any Shares shares of Common Stock deliverable hereunder unless and until certificates representing such Shares shares of Common Stock will have been issued, recorded on the records of the Company or its transfer agents or registrars, and delivered to the Participant or any person claiming under or through the Participant. After such issuance, recordation and delivery, Participant will have all the rights of a stockholder of the Company with respect to voting such Shares and receipt of dividends and distributions on such Shares.

Rights as Stockholder.
