Common use of Return of Confidential Information; Survival Clause in Contracts

Return of Confidential Information; Survival. Receiving Party shall promptly return or, at Disclosing Party’s option, certify destruction of all copies of Confidential Information at any time upon request or within thirty (30) days following the expiration or earlier termination of the Agreement. Notwithstanding any expiration or termination of this Agreement, Receiving Party’s obligations to protect the Confidential Information pursuant to this Section will survive for two (2) years after the expiration or earlier termination of this Agreement.

The foregoing shall not require Receiving Party to return or destroy electronic copies of Confidential Information created pursuant to their respective electronic backup and archival procedures. Notwithstanding any expiration or termination of this Agreement, the Receiving Party’s obligations to protect the Confidential Information pursuant to this Section will survive for two (2) years after the expiration or earlier termination of this Agreement.
