RESIGNATION FOR CAUSE - CHANGE IN CONTROL OR DIMINUTION IN DUTIES. In the event that there is a change in Control of the Company or in the event that the CEO materially reduces the scope and/or authority of your duties as President and Acting CFO, then you may terminate his employment by giving the Company 30 days advance written notice. In such event, you shall be entitled to payment in accordance with Paragraph 10.c.i and/or 10.c.ii of this Agreement.
