REQUIREMENTS AS TO THE RESOURCES AND EXPERTISE OF THE CONTRACTOR. The Contractor warrants that the deliverables will be performed with sufficient qualitative and quantitative resources and expertise, given the requirements stipulated in the Agreement. The Contractor’s project manager and other key personnel are specified in Appendix 6. Persons designated as key personnel in Appendix 6 shall not, within the scope of the Contractor’s managerial prerogative as employer, be replaced without the prior approval of the Customer. Such approval shall not be unreasonably withheld. The actual participation of the key personnel in the provision of the deliverables shall not be scaled back without the prior approval of the Customer. Personnel that the Customer, for justifiable reasons, does not wish to use, or wishes to have replaced, shall as soon as possible be replaced by alternative personnel with at least corresponding expertise. Personnel replacements shall not affect the progress of the project or impose additional costs on the Customer.
