Common use of Required Updates Clause in Contracts

Required Updates. Between the date of this Agreement and the Closing, the Seller will promptly notify the Buyer in writing if the Seller or any Seller Stockholder becomes aware of (a) any fact or condition that causes or constitutes a breach of any of the Seller or the Seller Stockholder representations and warranties made as of the date of this Agreement or (b) the occurrence after the date of this Agreement of any fact or condition that would or be reasonably likely to (except as expressly contemplated under this Agreement) cause or constitute a breach of any such representation or warranty had that representation or warranty been made as of the time of the occurrence of, or the Seller’s discovery of, such fact or condition.

Between the date of this Agreement and the Closing, the Seller Sellers will promptly notify the Buyer Buyers in writing if the any Seller or any Seller Stockholder Owner becomes aware of (a) any fact or condition that causes or constitutes a breach of any of the representations or warranties of any Seller or the Seller Stockholder representations and warranties any Owner made as of the date of this Agreement or (b) the occurrence after the date of this Agreement of any fact or condition that would or be reasonably likely to (except as expressly contemplated under this Agreement) cause or constitute a breach of any such representation or warranty had that representation or warranty been made as of the time of the occurrence of, or the Seller’s discovery of, such fact or condition.
