When the Customer offers an Account and the Related Rights with respect thereto to WFBC for sale, transfer and assignment, WFBC shall receive (a) an Assignment and Schedule of Accounts, in a form satisfactory to WFBC in its sole discretion and signed by an authorized representative of the Customer, (b) an original invoice or an electronic equivalent thereof, either of which must be in a form acceptable to WFBC in its sole discretion, (c) a copy of the xxxx of lading if applicable, (d) proof of delivery, (e) contract, purchase order, or purchase order number which corresponds with such invoice, as appropriate to the business of the Customer, (f) notification of assignment and waiver of offset signed by the applicable Account Debtor in a form acceptable to WFBC in its sole discretion, and (g) any other document which WFBC may require.
