Common use of Request for Letter of Credit Clause in Contracts

Request for Letter of Credit. Each request for a Letter of Credit shall be delivered to the Administrative Agent (and to the Issuing Lender, if the Issuing Lender is a Lender other than the Administrative Agent) by an Authorized Officer not later than 11:00 A.M. (Eastern time) three Business Days prior to the date of the proposed issuance of the Letter of Credit. Each such request shall be in a form acceptable to the Administrative Agent (and the Issuing Lender, if the Issuing Lender is a Lender other than the Administrative Agent) and shall specify the face amount thereof, whether such Letter of Credit is a commercial documentary or a standby Letter of Credit, the account party, the beneficiary, the requested date of issuance, amendment, renewal or extension, the expiry date thereof, and the nature of the transaction or obligation to be supported thereby. Concurrently with each such request, the Borrower, and any Guarantor of Payment for whose account the Letter of Credit is to be issued, shall execute and deliver to the Issuing Lender an appropriate application and agreement, being in the standard form of the Issuing Lender for such letters of credit, as amended to conform to the provisions of this Agreement if required by the Administrative Agent. The Administrative Agent shall give the Issuing Lender and each Lender notice of each such request for a Letter of Credit.

Request for Letter of Credit. Concurrently with each such request, the Administrative Borrower, and any Domestic Guarantor of Payment for whose account the Letter of Credit is to be issued, shall execute and deliver to the Issuing Fronting Lender an appropriate application and agreement, being in the standard form of the Issuing Fronting Lender for such letters of credit, as amended to conform to the provisions of this Agreement if required by the Administrative Agent. The Administrative Agent shall give the Issuing Fronting Lender and each Lender notice of each such request for a Letter of Credit.

The Administrative Agent shall give the Issuing Fronting Lender and each Lender notice of each such request for a Letter of Credit.

Concurrently with each such request, the Borrower, and any Guarantor of Payment for whose account the Letter of Credit is to be issued, Administrative Borrower shall execute and deliver to the Issuing Lender an appropriate application and agreement, being in the standard form of the Issuing Lender for such letters of credit, as amended to conform to the provisions of this Agreement if required by the Administrative Agent, and such other documentation reasonably deemed necessary by the Administrative Agent from any other Company for whose account the Letter of Credit is to be issued. The Administrative Agent shall give the Issuing Lender and each Revolving Lender notice of each such request for a Letter of Credit.

Request for Letter of Credit. Each request for a Letter of Credit shall be delivered to the Administrative Agent (and to the Issuing Fronting Lender, if the Issuing Fronting Lender is a Lender other than the Administrative Agent) by an Authorized Officer not later than 11:00 A.M. Concurrently with each such request, the Borrower, Borrower and any Guarantor of Payment for whose account the Letter of Credit is to be issued, shall execute and deliver to the Issuing Fronting Lender an appropriate application and agreement, being in the standard form of the Issuing Fronting Lender for such letters of creditcredit (which as of the Closing Date is, with respect to Agent as Fronting Lender, the Master Letter of Credit Agreement), as amended to conform to the provisions of this Agreement if required by the Administrative Agent. The Administrative (Unless otherwise agreed by Agent as Fronting Lender, in the event of a conflict between this Agreement and the Master Letter of Credit Agreement, which conflict cannot be reasonably resolved to give meaning to the provisions of both agreements, the Master Letter of Credit Agreement will control.) Agent shall give the Issuing Fronting Lender and each Revolving Lender notice of each such request for a Letter of Credit.

Request for Letter of Credit. The Administrative Agent shall give the Issuing Fronting Lender and each Lender notice of each such request for a Letter of Credit.

Concurrently with each such request, the Borrower, and any Guarantor of Payment Credit Party for whose account the Letter of Credit is to be issued, shall execute and deliver to the Issuing Fronting Lender an appropriate application and agreement, being in the standard form of the Issuing Fronting Lender for such letters of credit, as amended to conform to the provisions of this Agreement if required by Agent (in the Administrative Agentevent of any conflict in terms, Borrower and the Fronting Lender agree that the terms of this Agreement shall govern). The Administrative Agent shall give the Issuing Fronting Lender and each Lender notice of each such request for a Letter of Credit.

Request for Letter of Credit. (Eastern time) three Business Days prior to the date of the proposed issuance of day upon which the Letter of CreditCredit is to be issued. Each such request shall be in a form acceptable to the Administrative Agent (and the Issuing Fronting Lender, if the Issuing Fronting Lender is a Lender other than the Administrative Agent) and shall specify the face amount thereof, whether such Letter of Credit is shall be a commercial documentary or a standby Letter of Credit, the account party, the beneficiary, the requested intended date of issuance, amendment, renewal or extension, the expiry date thereof, the Alternate Currency or Canadian Dollars, if other than Dollars are requested, and the nature of the transaction or obligation to be supported thereby. Concurrently with each such request, the Borrower, and any Guarantor of Payment for whose account the Letter of Credit is to be issued, US Borrower shall execute and deliver to the Issuing Fronting Lender an appropriate application and agreement, being in the standard form of the Issuing Fronting Lender for such letters of credit, as amended to conform to the provisions of this Agreement if required by the Administrative Agent. The Administrative Agent shall give the Issuing Fronting Lender and each US Lender notice of each such request for a Letter of Credit.

Request for Letter of Credit. Each request for a Letter of Credit shall be delivered to the Administrative Agent (and to the Issuing Fronting Lender, if the Issuing Fronting Lender is a Lender other than the Administrative Agent) by an Authorized Officer not later than 11:00 A.M. (Eastern Mountain time) three Business Days prior to the date of the proposed issuance of day upon which the Letter of CreditCredit is to be issued. Each such request shall be in a form acceptable to the Administrative Agent (and the Issuing Fronting Lender, if the Issuing Fronting Lender is a Lender other than the Administrative Agent) and shall specify the face amount thereof, whether such Letter of Credit is a commercial documentary or a standby Letter of Credit, the account party, the beneficiary, the requested intended date of issuance, amendment, renewal or extension, the expiry date thereof, the Alternate Currency if other than Dollars are requested, and the nature of the transaction or obligation to be supported thereby. Concurrently with each such request, the Administrative Borrower, and any Guarantor of Payment Credit Party for whose account the Letter of Credit is to be issuedissued (which may be a Borrower or a Guarantor of Payment), shall execute and deliver to the Issuing Fronting Lender an appropriate application and agreement, being in the standard form of the Issuing Fronting Lender for such letters of credit, as amended to conform to the provisions of this Agreement if required by the Administrative Agent. The Administrative Agent shall give the Issuing Fronting Lender and each Lender notice of each such request for a Letter of Credit.

Concurrently with each such request, the Borrower, and any Guarantor of Payment for whose account the Letter of Credit is to be issued, shall execute and deliver to the Issuing Fronting Lender an appropriate application and agreement, being in the standard form of the Issuing Fronting Lender for such letters of credit, as amended to conform to the provisions of this Agreement if required by the Administrative Agent. The Administrative Agent shall give the Issuing Fronting Lender and each Revolving Lender notice of each such request for a Letter of Credit.
