Common use of Request for Additional Services Clause in Contracts

Request for Additional Services. a) The Customer may, from time to time, request ▇▇▇▇▇ to submit to the Customer a written proposal to perform an Additional Service. On receipt of any such request, if Kineo wishes to provide such Additional Services, Kineo shall respond to the Customer with a proposal for that Additional Service within the reasonable period agreed by the parties. b) Within a reasonable period after receiving ▇▇▇▇▇’s proposal, the Customer may query any matter in the proposal and shall, in writing: i. accept the proposal in full ii. negotiate (in good faith) variations to the terms of the proposal and, subsequently accept or decline the amended proposal; or iii. decline the proposal. c) If the Customer fails to provide such notice in writing, it shall be deemed to have declined the proposal. d) If the Customer accepts a proposal under Clause 3.7(b), the relevant Additional Services shall be recorded in a SoW or in an addendum and shall be provided by Kineo in accordance with such SoW or addendum and this Agreement.
