REPRESENTATIONS, WARRANTIES AND UNDERTAKINGS OF THE WARRANTORS. 5.1 Each of the Warrantors hereby jointly and severally represents and warrants to and undertakes with the Purchaser that each of the matters set out in Schedule 5 are as at the date hereof and will be for all times up to and including the Completion Date, true and correct in all respects.
REPRESENTATIONS, WARRANTIES AND UNDERTAKINGS OF THE WARRANTORS. Each of the Warrantors jointly and severally represents and warrants to the Purchaser that, except as set forth in the Schedule of Exceptions (“Schedule of Exceptions”) attached to this Agreement as Exhibit A (which Schedule of Exceptions shall be deemed to be representations and warranties to the Purchaser), the statements in this Schedule 4 are all true, correct and complete. In this Schedule, any reference to a party’s “knowledge” means such party’s actual knowledge of officers, directors, and other employees of such party reasonably believed to have knowledge of the matter in question.
