Representations, Warranties and Covenants of Distributor. Distributor represents and warrants to NW that Distributor is, and covenants that it shall remain during the term of this Agreement: (i) registered as a broker-dealer under the 1934 Act; (ii) a member in good standing with FINRA; (iii) duly registered under applicable state securities laws; (iv) in compliance with Section 9(a) of the 1940 Act; and (v) otherwise qualified to conduct the distribution activities described in this Agreement

Representations, Warranties and Covenants of Distributor. Distributor represents and warrants to NW Insurer that Distributor is, and covenants that it shall remain during the term of this Agreement: (i) registered as a broker-dealer under the 1934 Act; (ii) a member in good standing with FINRAof the NASD; (iii) duly registered under applicable state securities laws; and (iv) in compliance with not within those classes of persons disqualified from serving as a principal underwriter pursuant to Section 9(a) of the 1940 Act; and (v) otherwise qualified to conduct the distribution activities described in this Agreement.
