Distributor represents and warrants to NW Insurer that Distributor is, and covenants that it shall remain during the term of this Agreement: (i) registered as a broker-dealer under the 1934 Act; (ii) a member in good standing with FINRAof the NASD; (iii) duly registered under applicable state securities laws; and (iv) in compliance with not within those classes of persons disqualified from serving as a principal underwriter pursuant to Section 9(a) of the 1940 Act; and (v) otherwise qualified to conduct the distribution activities described in this Agreement.
