REPRESENTATIONS, WARRANTIES AND AGREEMENTS OF THE GENERAL PARTNER. The General Partner represents and warrants to and agrees with you that:
REPRESENTATIONS, WARRANTIES AND AGREEMENTS OF THE GENERAL PARTNER. The General Partner represents and warrants to and confirms and agrees with the other Partners that: (i) the General Partner has full right, power and authority to execute and deliver this Agreement and to perform each of its obligations hereunder; (ii) the General Partner has taken all corporate action to duly execute and deliver this Agreement; (iii) this Agreement has been duly executed and delivered and is a duly and validly binding obligation of the General Partner in accordance with its terms; (iv) the General Partner is not subject to any restriction or agreement which prohibits or would be violated by the execution and delivery of this Agreement or the consummation of the transactions contemplated herein or pursuant to which the consent of any third person, firm or corporation is required in order to give effect to the transactions contemplated herein; and (v) the General Partner will not take any action that might cause the Partnership to lose its status as a partnership for Federal income tax purposes.
