Common use of Representations of Executive Clause in Contracts

Representations of Executive. The Executive hereby represents and warrants to the Company that (a) this Agreement is the valid, legal and binding obligation of Executive, and (b) this Agreement does not, and the Executive’s performance of his duties hereunder will not, violate any provision of any agreement, indenture or other instrument, or any fiduciary or other obligation, to which the Executive is a party or by which it is bound.

Representations of Executive. The (a) Executive hereby represents represents, warrants and warrants covenants that (i) Executive has the full right, authority and capacity to enter into this Agreement and perform Executive’s obligations hereunder, (ii) Executive is not bound by any agreement that conflicts with or prevents or restricts the full performance of Executive’s duties and obligations to the Company that hereunder during or after the Term and (aiii) the execution and delivery of this Agreement is the valid, legal and binding obligation of Executive, and (b) this Agreement does not, and the Executive’s performance of his duties hereunder will not, violate shall not result in any provision of any agreement, indenture breach or other instrumentviolation of, or a default under, any fiduciary or other existing obligation, commitment or agreement to which the Executive is a party or by which it is boundsubject.

Representations of Executive. The Executive hereby represents and warrants to the Company that (a) Executive has the capacity to enter into this Agreement is and the valid, legal and binding obligation of Executiveother agreements referred to herein, and (b) that the execution, delivery and performance of this Agreement does not, and the Executive’s performance of his duties hereunder such other agreements by Executive will not, not violate any provision of any agreement, indenture undertaking or other instrument, or any fiduciary or other obligation, covenant to which the Executive is a party or by which it is otherwise bound.

The Executive hereby represents and warrants to the Company that (a) this Agreement is the valid, legal and binding obligation of Executive, and (b) this Agreement does not, and the Executive’s 's performance of his duties hereunder will not, violate any provision of any agreement, indenture or other instrument, or any fiduciary or other obligation, to which the Executive is a party or by which it is bound.

Representations of Executive.
