Common use of Representations of Consultant Clause in Contracts

Representations of Consultant. Consultant represents and warrants that his execution and delivery of this Agreement and performance by Consultant of his obligations under this Agreement shall in no way violate the terms and conditions of any other agreement, written or oral, or any other instrument or arrangement to which Consultant is a party or by which Consultant is bound.

Representations of Consultant. Consultant represents and warrants to the Company that (i) this Agreement is a valid and binding obligation of Consultant, enforceable against Consultant in accordance with its terms, and (ii) his execution and delivery of, and performance of his services and other obligations under, this Agreement and performance by Consultant will not result in the breach or violation of his obligations under this Agreement shall in no way violate the terms and conditions of any other agreement, written or oral, applicable law or any other instrument or arrangement agreement to which Consultant he is a party or by which Consultant is boundparty.

Consultant represents and warrants that Consultant is not under any contractual or other restriction which is inconsistent with the execution of this Agreement, the performance by Consultant of his EXECUTION VERSION duties or responsibilities under this Agreement or the rights of the Company hereunder. Consultant further represents that upon the execution and delivery of this Agreement by the Company and performance by Consultant of his obligations under Consultant, this Agreement shall will be a valid and binding obligation of Consultant, enforceable against Consultant in no way violate the terms and conditions of any other agreement, written or oral, or any other instrument or arrangement to which Consultant is a party or by which Consultant is boundaccordance with its terms.

Representations of Consultant. Consultant represents and warrants that his execution that: (a) Consultant has the full power and delivery capacity to enter into this Agreement and the performance of this Agreement will not violate any agreement or obligation of Consultant; and performance by (b) Consultant of his obligations agrees to perform the services to be performed under this Agreement shall in no way violate the terms compliance with all applicable laws, regulations and conditions of any other agreement, written or oral, or any other instrument or arrangement to which Consultant is a party or by which Consultant is boundordinances.

Representations of Consultant. Consultant represents and warrants that his execution it has the full and delivery of unrestricted right and authority to enter into and perform this Agreement, that entering into and performing this Agreement does not and performance by Consultant of his obligations under this Agreement shall in no way not breach or violate the terms and conditions or conflict with any provision of any other agreementagreement or understanding, written oral or oralwritten, between Consultant and any third party and that Consultant has not and shall not disclose to the Company or any of its employees or consultants any confidential, proprietary, or secret information of any other instrument or arrangement third party to which Consultant whom it is under a party or by which Consultant is boundduty of confidentiality.

The Consultant hereby represents and warrants to the Company that his execution and delivery of (a) this Agreement is the valid, legal and binding obligation of Consultant, and (b) this Agreement does not, and the Consultant’s performance by Consultant of his obligations under this Agreement shall in no way duties hereunder will not, violate the terms and conditions any provision of any other agreement, written indenture or oralother instrument, or any fiduciary or other instrument or arrangement obligation, to which the Consultant is a party or by which Consultant it is bound.
