Representations and Warranties of Winsonic and Shareholder. In order to induce the Parent and Merger Sub to enter into this Agreement and to consummate the Merger, Winsonic and Shareholder jointly and severally represent and warrant to the Parent and Merger Sub as follows, subject in each case to such exceptions as are set forth in the attached “The Winsonic Disclosure Schedule” in the section thereof numbered and captioned to correspond to the specific representation or warranty to which such exception relates.
