REPRESENTATIONS AND WARRANTIES OF WHERIFY. The Wherify Entities each hereby represents, warrants, and agrees, to its Knowledge, that the statements contained in this Article VII are true and correct, except as expressly set forth herein or in the disclosure schedule delivered by the Wherify Entities to Lightyear on or before the date of this Agreement (the “Wherify Disclosure Schedule”). The Wherify Disclosure Schedule shall be arranged in paragraphs corresponding to the numbered and lettered paragraphs contained in this Article VII and the disclosure in any paragraph shall qualify the corresponding paragraph in this Article VII where such disclosure would be appropriate and for which the relevance of such disclosure is reasonably apparent based upon its nature and substance.
