REPRESENTATIONS AND WARRANTIES OF THE SELLERS AND SHAREHOLDER. Certain representations and warranties made by Sellers and Shareholder are modified as and to the extent set forth in the Disclosure Statement which has previously been delivered to Buyer at least two (2) business days prior to the date hereof (the "Disclosure Statement") or as otherwise provided herein. Shareholder and each Seller represent and warrant to Buyer as of the date of this Agreement as follows:
