Representations and Warranties of the Purchaser and the Purchaser Parent. As an inducement for the Company and the Company Parent to enter into this Agreement and consummate the transactions contemplated hereby, the Purchaser and the Purchaser Parent hereby jointly and severally represent and warrant to the Company and the Company Parent that each and all of the following representations and warranties (as modified by the Schedules and any Supplement delivered by the Purchaser and/or the Purchaser Parent pursuant to Section 13.21 of this Agreement) are true and correct as of the date of this Agreement and will be true and correct as of the Closing Date. The Schedules are arranged in numbered paragraphs generally corresponding to the sections and subsections contained in this Article 4. Any disclosure as to one schedule, section or subsection shall not be deemed to be a disclosure on any other schedule, section or subsection unless such disclosure specifically cross-references such other schedule, section or subsection.
