THIS AGREEMENT OF PARTNERSHIP (herein called this “Agreement”) dated February 20, 2007, is made by and among Xxxxxxxxx Development Corporation, a Delaware corporation (“MD” and also herein called the “Managing Partner” when acting in its capacity as Managing Partner of the Partnership), Xxxxxx X.
