REPRESENTATIONS AND WARRANTIES OF SELLERS AND KVP. Except as otherwise set forth in the Seller Disclosure Schedules, each Seller and KVP, as applicable, hereby jointly and severally represent and warrant to Purchaser as of the Closing Date as follows (it being agreed and understood that (i) any matter set forth for purposes of this Article V in any section of the Seller Disclosure Schedules shall be deemed to be an exception or qualification with respect to all other applicable representations and warranties contained in this Agreement to the extent that the applicability of such exception or qualification is readily apparent on the face of such disclosure, and (ii) no reference to or disclosure of any item on the Seller Disclosure Schedules shall be construed as an admission or indication that such item or other matter is material or that such item or other matter is required to be referred to or disclosed on the Seller Disclosure Schedules):
