Independent Sales Representatives. (i) Section 3.01(dd)(i) of the Parent Disclosure Letter sets forth a true and correct (in the case of (c), in all material respects) list of, in each case with respect to the North America Business, (A) the number of Ending Sales Representatives as of each of March 31, 2015, June 30, 2015, September 30, 2015, October 00, 0000 xxx Xxxxxxxx 00, 0000, (X) the number of Average Active Representatives and (C) the aggregate net sales, in each case (B) and (C) for each of (v) the period from January 1, 2015 to March 31, 2015, (w) the period from April 1, 2015 to June 30, 2015, (x) the period from July 1, 2015 to September 30, 2015, (y) the period from October 1, 2015 to October 31, 2015 and (z) the period from November 1, 2015 to November 30, 2015.

Independent Sales Representatives. Schedule 5.26 of the Seller Disclosure Schedules is a true and correct list of all of the independent or outside sales representatives of PDI (“Independent Sales Representatives”), the approximate amount of sales attributable to each such Independent Sales Representative for each of the last two (2) calendar years (or such shorter period of time if such Independent Sales Representative has been acting in such capacity for less than two (2) years), and a description of each such Independent Sales Representative’s compensation or commission arrangements. A true, correct and complete copy of a representative written agreement with respect to each Independent Sales Representative has been furnished to Purchaser.
Independent Sales Representatives. Except for expenses which Tuskers Realty Inc. has agreed to pay for its own account, the Independent Sales Representative shall be responsible for (i) all amounts, including, but not limited to, Variable Recoverable Expenses, that are payable by the Independent Sales Representative in accordance with section 7, and (ii) all expenses incurred by him or her in the performance of his or her duties hereunder.
Independent Sales Representatives. At least ten days prior to Closing, Seller shall deliver to Buyer a schedule that shall identify all of the Independent Sales Representatives. At Closing, Buyer may make, or may cause an affiliate or contractor to make, offers to enter into an agreement with any of such Independent Sales Representatives chosen by Buyer, at Buyer’s sole option and discretion, and under agreement terms which Buyer deems suitable. Seller shall cooperate with any actions of Buyer to contract with any such Independent Sales Representatives that Buyer chooses.

  • Parties’ Representatives Both Parties shall ensure that throughout the term of this Agreement, a duly appointed Representative is available for communications between the Parties. The Representatives shall have full authority to deal with all day-to-day matters arising under this Agreement. If a Party’s Representative becomes unavailable, the Party shall promptly appoint another Representative. Acts and omissions of Representatives shall be deemed to be acts and omissions of the Party. Owner and CAISO shall be entitled to assume that the Representative of the other Party is at all times acting within the limits of the authority given by the Representative’s Party. Owner’s Representatives and CAISO’s Representatives shall be identified on Schedule J.

  • Consultant’s Representative Consultant hereby designates XXXXXX, or his or her designee, to act as its representative for the performance of this Agreement (“Consultant’s Representative”). Consultant’s Representative shall have full authority to represent and act on behalf of the Consultant for all purposes under this Agreement. The Consultant’s Representative shall supervise and direct the Services, using their best skill and attention, and shall be responsible for all means, methods, techniques, sequences, and procedures and for the satisfactory coordination of all portions of the Services under this Agreement.

  • Independent Activities 14.1 Except as expressly provided herein, each party shall have the free and unrestricted right to independently engage in and receive the full benefit of any and all business endeavours of any sort whatsoever, whether or not competitive with the endeavours contemplated herein without consulting the other or inviting or allowing the other to participate therein. No party shall be under any fiduciary or other duty to the other which will prevent it from engaging in or enjoying the benefits of competing endeavours within the general scope of the endeavours contemplated herein. The legal doctrines of "corporate opportunity" sometimes applied to persons engaged in a joint venture or having fiduciary status shall not apply in the case of any party.   • INDEPENDENT PERSONAL SERVICES 1. Income derived by a resident of a Contracting State in respect of professional services or other activities of an independent character shall be taxable only in that State except in the following circumstances, when such income may also be taxed in the other Contracting State:

  • Independent Parties This Agreement shall not be deemed to create any partnership, joint venture, or agency relationship between the Parties. Each Party shall act hereunder as an independent contractor.

  • Outside Professional Activities (a) For the purpose of this article, "outside professional activities" means participation in the activities of professional associations, learned societies, faculty associations, or voluntary practice of the employee’s profession, which support and/or promote the advancement of research, scholarship, teaching, artistic creation, or professional development, and improve the working conditions of academic staff.
