REPRESENTATIONS AND WARRANTIES OF SELLER AND PRINCIPAL SHAREHOLDERS. In order to induce Buyer to enter into this Agreement, Seller and each of the Principal Shareholders, jointly and severally, hereby represent and warrant to Buyer as follows:
REPRESENTATIONS AND WARRANTIES OF SELLER AND PRINCIPAL SHAREHOLDERS. Seller and its Principal Shareholders, hereby make the following representations and warranties to Buyer, each of which is true and correct on the date this Agreement is executed and shall remain true and correct to and including the Effective Date, shall be unaffected by any investigation heretofore or hereafter made by Buyer, or any knowledge of Buyer other than as specifically disclosed in the disclosure schedules delivered to Buyer at the time of the execution of this Agreement, and shall survive the Closing of the transactions provided for herein. For the purposes of this Agreement, "Principal Shareholder" shall be Linda L. Roman and Innovative Health of Kansas, Inc.
