REPRESENTATIONS AND WARRANTIES OF RYMEX. Rymex xxxeby makes the following representations and warranties to Parent and Merger Sub, each of which shall be deemed to be independently material and relied upon by the Parent and Merger Sub, regardless of any investigation made by, or information known to, the Parent and Merger Sub. Each of the following representations and warranties are qualified by reference to the disclosures made by Rymex xxxh respect to a specific section or subsection of this Agreement on a separate disclosure schedule delivered by Rymex xx Parent and Merger Sub prior to the execution of this Agreement and made a part hereof (the "Disclosure Schedule").
