REPRESENTATIONS AND WARRANTIES OF RPM. RPM, its affiliates and members, hereby represent and warrant to Beauty Brands as follows:
REPRESENTATIONS AND WARRANTIES OF RPM. RPM hereby represents and warrants to the Participant that it has full corporate power and authority to execute and deliver this Agreement and to consummate the transactions contemplated hereby, including the issuance of shares of Common Stock upon the exercise of the Options and that the execution and delivery of this Agreement and the consummation of the transactions contemplated hereby, have been duly and validly authorized by RPM.
