REPRESENTATIONS AND WARRANTIES OF LIGHTYEAR PARTIES. Each Lightyear Party represents and warrants to Wherify and the Merger Sub that, to its Knowledge, the statements contained in this Article V (Section 5.1 through 5.34) are true and correct, except as expressly set forth herein or in the disclosure schedule delivered by Lightyear to Wherify on or before the date of this Agreement (the “Lightyear Disclosure Schedule”). The Lightyear Disclosure Schedule shall be arranged in paragraphs corresponding to the numbered and lettered paragraphs contained in this Article V and the disclosure in any paragraph shall qualify the corresponding paragraph in this Article V where such disclosure would be appropriate and for which the relevance of such disclosure is reasonably apparent based upon its nature and substance.
