Except as may be set forth on a schedule hereto, IGT hereby represents and warrants to Snap-on that (i) IGT has no knowledge of any threatened or pending claim alleging the use of Technology, within the scope of any claim of any IGT Patent, infringes any patent or copyright, or that the Technology includes one or more trade secrets, or any other proprietary right of any third party, within the Licensed Field; (ii) IGT owns all right, title and interest in and to the Technology within the Licensed Field, free and clear of all liens, security interests, charges or encumbrances by third parties; and (iii) IGT has full right, power and authority to enter into this Agreement and to carry out its obligations hereunder.
