Representations and Warranties of FAG. As an inducement to NNBR and SKF to enter into this Agreement and to consummate the transactions contemplated hereby FAG makes the representations and warranties to NNBR and SKF set forth on Schedule 6.3 (the "FAG Representations and Warranties"). The Company shall be a third party beneficiary of this Agreement and be entitled to enforce and recover for any breach of these representations and warranties. At the Closing, FAG and FAG Sub shall make the FAG Representations and Warranties in the FAG Asset Transfer Agreement.
