REPRESENTATIONS AND WARRANTIES OF ADP. ADP hereby represents and warrants to Purchaser as set forth below as of the date hereof and of the Closing Date. The parties acknowledge and agree that: (i) the following representations and warranties are qualified by the exceptions set forth in the Schedules to this Agreement (including the Disclosure Schedule) to the extent an exception expressly refers to the specific representations and warranties which it qualifies; (ii) the disclosure of any item or information in any Schedule (including the Disclosure Schedule) shall not be construed as or deemed to constitute an admission or otherwise imply that such item or information is material to the Transferred Business or creates measures for materiality for purposes of this Agreement; and (iii) the items and information reflected in the Schedules (including the Disclosure Schedule) are not necessarily limited to matters required by this Agreement to be reflected, and such additional items and information are set forth for information purposes only and the Schedules (including the Disclosure Schedule) do not necessarily include other matters of a similar nature.
