Representations and Warranties, Covenants and Obligations of Parent and Merger Sub. All representations, warranties, and pre-closing covenants and obligations of Parent or Merger Sub contained herein or in any document, certificate or other instrument required to be delivered hereunder in connection with the transactions contemplated hereby shall survive the Closing and shall expire on the date that is fifteen (15) months after the Closing Date. All covenants and obligations of Parent and Merger Sub contained herein to be performed following the Effective Time shall survive the Closing and continue in full force until performed in accordance with their terms.
