Subject to exceptions as are set forth in (i) the Disclosure Schedules delivered to Buyer by the Seller within fourteen (14) days following the Signing Date (the “Preliminary Disclosure Schedules”), as such disclosures may be updated per Section 5.5 of this Agreement (the “Updated Disclosure Schedules” and, collectively with the Preliminary Disclosure Schedules, the “Disclosure Schedules”), as of the Signing Date and as of the Closing Date, Seller jointly and severally represent and warrant to Buyer as set forth below, in this Section 3.
