REPRESENTATION CLAUSE Sample Clauses
A Representation Clause is a contractual provision in which one or both parties affirm certain facts or conditions as true at the time the contract is made. This clause typically requires parties to state that specific information—such as their authority to enter the agreement, the accuracy of financial statements, or compliance with laws—is accurate and complete. By including these representations, the clause helps ensure transparency and trust between the parties, and provides a basis for legal recourse if any statements are later found to be false or misleading.
