Repeated or Willful Noncompliance. The Interconnection, unbundled Network Elements, and services provided hereunder may be discontinued by either Party upon thirty (30) days written notice to the other for repeated or willful violation of and/or a refusal to comply with this Agreement in any material respect. The Party discontinuing will notify the appropriate federal and/or state regulatory bodies concurrently with the notice to the other Party of the prospective discontinuance.

If the Party receiving such notice has not cured the violation of or refuses to comply with the Agreement within thirty (30) days, the other Party may discontinue the Interconnection provided hereunder, provided that no such determination shall occur if the Parties are pursuing in good faith the dispute resolution procedures set forth in Sections 29.8 or 29.9.   • Material Breach of Contract In the event Contractor fails to deliver the product and services as contracted for herein, to the satisfaction of the City of Sparks or otherwise fails to perform any provisions of this Contract, the City, after providing five (5) days written notice and Contractor’s failure to cure such breach within the time specified in the notice, may without waiving any other remedy, make good the deficiencies and deduct the actual cost of providing alternative products and/or services from payment due the Contractor.
