Common use of REMUNARATION Clause in Contracts

REMUNARATION. 1. The contractor is entitled to remuneration for the following elements or stages of the order : a. Support structures: EUR b. Hardware: EUR c. Software : EUR d. Training: EUR 2. The Total Price of the Contract as a sum of the individual instalments mentioned in paragraph 6.1 above is euro (in words: ) (further called “Total price”). VAT shall be added to the Total price at the rate effective at the invoice date. Should the Parties agree on changing the scope of work during the GOP implementation process on conditions described in section 2 “Scope of Service” above, they also agree in written on changing the price for the implementation of the System accordingly. 3. The total price for 12 months of Maintenance & Support service following 24 months after Go Live with the same scope as per the Technical Specification requirements will cost EUR: 4. All supplied equipment, installation materials and implementation jobs belongs to Executor, until the Customer pays invoices 3 and 4 issued by this Agreement. 5. Shipping of GOP hardware and components as well as travels (international and local) & lodging costs related to the Agreement shall be included in offered the Total price. 6. Rental of dedicated equipment for all GOP works such us cherry pickers, fork lifts or height platform which will be used during installation phase shall be included in offered the Total price. 7. Wired connection between Infrastructure points and data connections /communications between Customer’s servers and GOP elements; electrical connections to localization points of GOP elements shall be included in offered Total price. 8. Invoicing, with 21 days term of payment, will be made according to the following terms in regard of each phase: a) Invoice 1: After signing the Acceptance Certificate – 10% of the Total price b) Invoice 2: After Hardware delivery – 15% of the Total price c) Invoice 3: After physical installation (support structures + hardware) – 15% of the Total price d) Invoice 4: After successful testing of Software – 15% of the Total price e) Invoice 5: After Road part Go Live – 20% of the Total price f) Invoice 6: After Rail part Go Live – 10% of the Total price g) Invoice 7: After System acceptance by Customer and providing Training– 15% of the Total price 9. The acceptance of the GOP supply and implementation work is performed by signing the Acceptance Certificate for each phase described above. With the final Acceptance Certificate Executor must supply drawings/executive documents and manuals of the GOP in Polish and English language. 10. The payment day is considered to be the day when the due amount is transferred to the Executor’s bank account. The payment is made to the Executor’s bank account, which is indicated in this Agreement: . 11. The value of works invoiced by the subcontractors in a given accounting period cannot exceed 75% of the value of the performance guarantee provided by the Executor.
