Remote Participation. Unless otherwise required by law, Members may participate in a meeting of the Members by means of a conference telephone or other communications equipment by means of which all persons participating in the meeting can hear each other, and participation by such means shall constitute presence in person at a meeting.
Remote Participation. Members of the Board of Managers may participate in meetings of the Board of Managers by means of telephone conference or similar communications equipment that allows all persons participating in the meeting to hear each other, and such participation in a meeting shall constitute presence in person at the meeting. If all the participants are participating by telephone conference or similar communications equipment, the meeting shall be deemed to be held at the principal place of business of the Company.
Remote Participation. The presence or participation, including voting and taking other action, at a meeting of members, by conference telephone or other electronic means, including without limitation the Internet, shall constitute the presence of, or vote or action by, the member.
Remote Participation. For full meetings of the Board of Trustees, in person attendance is expected, but remote participation may be permitted for good cause. Trustees may participate in any committee meetings through conference calls, video conference or other forms of communication that permit participants to communicate with all other participants, and participation in such meeting shall constitute the presence in person by such member at such meeting.
Remote Participation. If authorized by the Board, and subject to such guidelines and procedures as the Board may adopt, Members and proxyholders not physically present at a meeting of Members may by means of remote communication participate in such meeting and be deemed present in person and vote at such meeting, provided that the Company shall implement reasonable measures to verify that each Person deemed present and permitted to vote at the meeting by means of remote communication is a Member or proxyholder, to provide such Members or proxyholders a reasonable opportunity to participate in the meeting and to record the votes or other action made by such Members or proxyholders.
Remote Participation. Southern MLS, LLC will hold 6 Board Meetings annually and remote participation will be allowed. Unless a Manager attends a Board of Mangers meeting solely for the expressed purpose of objecting to the lack of notice or other failure to conform to the requirements of this Subsection, the Manager’s presence at a meeting (either in person, telephonically or by video conference) shall constitute a waiver of any such objection. If a Manager misses two (2) of the six (6) meetings, said Manager may be removed from the Board of Managers by vote of the Board of Managers.
Remote Participation. For the purposes of the activities described in 2.3, above, the development and use of remote participation tools will be encouraged.
Remote Participation. Limited Partners may participate in any meeting of the Partners by telephone or electronic means of communication or similar communications by means of which all Persons participating in the meeting can hear and be heard. ADMINISTRATIVE PROVISIONS
Remote Participation. A director may participate in a meeting of directors or of a committee of directors by means of telephonic, electronic or other communication facility that permits all participants to communicate adequately with each other during the meeting. A director participating in a meeting by such means shall be deemed to be in attendance at that meeting.
Remote Participation. Any person entitled to attend a meeting referred to in this bylaw may participate in the meeting by means of a communication technology that permits all persons participating in the meeting to communicate effectively, and a person participating in a meeting by such means is deemed to be present. The Secretary shall make best efforts to arrange remote participation.
