Reimbursement for Costs, Etc. If at any time or from time to time there shall occur a Regulatory Change and the Issuer or any Lender shall have reasonably determined that such Regulatory Change (i) shall have had or will thereafter have the effect of reducing (A) the rate of return on the Issuer’s or such Lender’s capital or the capital of any Person directly or indirectly owning or controlling the Issuer or such Lender (each a “Control Person”), or (B) the asset value (for capital purposes) to the Issuer, such Lender or such Control Person, as applicable, of the Reimbursement Obligations, or any participation therein, or the Loans, or any participation therein, in any case to a level below that which the Issuer, such Lender or such Control Person could have achieved or would thereafter be able to achieve but for such Regulatory Change (after taking into account the Issuer’s, such Lender’s or such Control Person’s policies regarding capital), (ii) will impose, modify or deem applicable any reserve, asset, special deposit or special assessment requirements on deposits obtained in the interbank eurodollar market in connection with the Loan Documents (excluding, with respect to any Eurodollar Advance, any such requirement which is included in the determination of the rate applicable thereto), (iii) will subject the Issuer, such Lender or such Control Person, as applicable, to any tax (documentary, stamp or otherwise) with respect to this Agreement, any Note, or any Reimbursement Agreement, or (iv) will change the basis of taxation of payments to the Issuer, such Lender or such Control Person, as applicable, of principal, interest or fees payable under the Loan Documents (except, in the case of clauses (iii) and (iv) above, for any tax or changes in the rate of tax on the Issuer’s, such Lender’s or such Control Person’s net income) then, in each such case, within ten days after demand by the Issuer or such Lender, as applicable, the Borrower shall pay to the Issuer, such Lender or such Control Person, as the case may be, such additional amount or amounts as shall be sufficient to compensate the Issuer, such Lender or such Control Person, as the case may be, for any such reduction, reserve or other requirement, tax, loss, cost or expense (excluding general administrative and overhead costs) (collectively, “Costs”) attributable to the Issuer’s, such Lender’s or such Control Person’s compliance during the term hereof with such Regulatory Change. The Issuer and each Lender may make multiple requests for compensation under this Section. Notwithstanding the foregoing, the Borrower will not be required to compensate any Lender for any Costs under this Section 3.6 arising prior to 45 days preceding the date of demand, unless the applicable Regulatory Change giving rise to such Costs is imposed retroactively. In the case of retroactivity, such notice shall be provided to the Borrower not later than 45 days from the date that such Lender learned of such Regulatory Change. The Borrower’s obligation to compensate such Lender shall be contingent upon the provision of such timely notice (but any failure by such Lender to provide such timely notice shall not affect the Borrower’s obligations with respect to (i) Costs incurred from the date as of which such Regulatory Change became effective to the date that is 45 days after the date such Lender reasonably should have learned of such Regulatory Change and (ii) Costs incurred following the provision of such notice).

(a) If at any time or from time to time there shall occur a Regulatory Change and the Issuer or any Lender shall have reasonably determined that such Regulatory Change (i) shall have had or will thereafter have the effect of reducing (A) the rate of return on the Issuer’s or such Lender’s 's capital or the capital of any Person directly or indirectly owning or controlling the Issuer or such Lender (each a "Control Person"), or (B) the asset value (for capital purposes) to the Issuer, such Lender or such Control Person, as applicable, of the Reimbursement Obligations, or any participation therein, or the Loans, or any participation therein, in any case to a level below that which the Issuer, such Lender or such Control Person could have achieved or would thereafter be able to achieve but for such Regulatory Change (after taking into account the Issuer’s, such Lender’s 's or such Control Person’s 's policies regarding capital), (ii) will impose, modify or deem applicable any reserve, asset, special deposit or special assessment as- sessment requirements on deposits obtained in the interbank eurodollar market in connection with the making or maintaining of LIBOR Loans under the Loan Documents (excluding, with respect to any Eurodollar AdvanceLIBOR Loan, any such requirement which is included in the determination of the rate applicable theretothereto or in respect of which such Lender is entitled to payment under clause (b) of this paragraph 3.6), (iii) will subject the Issuer, such Lender or such Control Person, as applicable, to any tax Tax (documentary, stamp or otherwise, but not including any Indemnified Tax or any income Tax, whether payable by way of withholding or otherwise, or capital or franchise Taxes on, based on, or measured by the overall net income of such Lender or any change in the rate of any such Tax) with respect to this Agreement, Agreement or any Note, or any Reimbursement Agreement, or (iv) will change the basis of taxation of payments to the Issuer, such Lender or such Control Con- trol Person, as applicable, of principal, interest or fees payable under the Loan Documents (except, in the case of clauses (iii) and (iv) above, except for any tax Indemnified Tax or changes any income Tax, whether payable by way of withholding or otherwise, or capital or franchise Taxes on, based on, or measured by the overall net income of such Lender or any change in the rate of tax on the Issuer’s, any such Lender’s or such Control Person’s net incomeTax) then, in each such case, within ten days after demand by the Issuer or such Lender, as applicable, the Borrower Company shall pay to the Issuer, such Lender or such Control Person, as the case may be, such additional amount or amounts as shall be sufficient to compensate the Issuer, such Lender or such Control Person, as the case may be, for (1) any such reductionreduction referred to in clause (a) (i) of this paragraph 3.6, reserve and (2) any Taxes described in clauses (iii) and (iv) above, losses, costs or other requirement, tax, loss, cost or expense expenses (excluding general administrative and overhead over- head costs) (collectively, “Costs”) attributable to the Issuer’s, such Lender’s 's or such Control Person’s 's compliance during the term hereof with such Regulatory Change; provided that, in any such event, such Lender shall, as promptly as practicable and in any event within 30 days after obtaining actual knowledge of any such Regulatory Change or reasonably determining (a "Loss Determination") that such Regulatory Change shall or may have an effect described in any of the foregoing clauses (i) through (iv), give the Company and the Agent written notice thereof. The Issuer and Without affecting its rights under this paragraph or any other provision of this Agreement, each Lender may make multiple requests for compensation agrees that in the event of any such reduction or any such Taxes, losses, costs or expenses with respect to which the Company would be obligated to compensate such Lender pursuant to this paragraph, such Lender shall use reasonable efforts to select an alternative Lending Office if such action would be effective to avoid or mitigate any such reductions, Taxes, losses, costs or expenses; provided that, no Lender shall be obligated to select an alternative Lending Office if such Lender shall determine that such selection would adversely affect such Lender or any Loan made by it. Notwithstanding the foregoing provisions of this paragraph, the Company shall not be obligated to compensate any Lender under this Sectionparagraph for any such reductions, or any such Taxes, losses, costs or expenses, to which such Lender shall have become subject or which it shall have incurred (x) if such Lender shall have failed to give written notice thereof to the Company within 90 days after the officer of such Lender having responsibility for administering this Agreement having obtained actual knowledge of such Regulatory Change or making any Loss Determination, more than 90 days prior to the date such Lender actually gives such notice or (y) in any event, more than 90 days prior to the date such Lender shall give such notice to the Company. In the case provisions of retroactivityparagraph (a) above are applicable, such notice shall be provided to the Borrower not later than 45 days from the date that so long as such Lender learned is, by reason of any Regulatory Change, maintaining reserves against any other category of liabilities which includes deposits by reference to which the interest rate on LIBOR Loans is determined as provided in this Agreement or against any category of extensions of credit or other assets of such Regulatory Change. The Borrower’s obligation to compensate such Lender shall be contingent upon the provision of such timely notice which includes any LIBOR Loans, an additional amount (but any failure determined by such Lender and notified to provide the Company through the Agent) equal to the product of the following for each LIBOR Loan for each day during such timely notice shall not affect the Borrower’s obligations with respect to Interest Period: (i) Costs incurred from the date as of which such Regulatory Change became effective to the date that is 45 days after the date such Lender reasonably should have learned principal balance of such Regulatory Change LIBOR Loan outstanding on such day; and (ii) Costs incurred following the provision difference between (x) a fraction the numerator of which is the LIBOR Rate (expressed as a decimal) applicable to such notice).LIBOR Loan for such Interest Period as provided in this Agreement and the denominator of which is one minus the effective rate (expressed as a decimal) at which such reserve requirements are imposed on such Lender by the Board of Governors of the Federal Reserve System on such day minus (y) such numerator; and (iii) 1/360. 3.7
