Record Date for Notice. If the Corporation is a reporting issuer or has 50 or more shareholders, the board may fix in advance, not less than 21 days and not more than 60 days before the meeting, a record date for the purpose of determining the shareholders entitled to receive a notice of the meeting or entitled to vote at the meeting. If no record date is fixed, the record date for the purpose of determining the shareholders entitled to receive a notice or entitled to vote shall be the close of business on the day immediately preceding the day on which the notice of the meeting is given.
