Common use of R&D External Costs Clause in Contracts

R&D External Costs. In addition to the funding obligations in Section 5.3.1 above, and without limiting the generality of the provisions of Section 4.2 hereof, MERCK shall [***] for the payment of [***] Third Party research and Development activity costs (“Third Party Costs”), including, without limitation, contract research organizations, contract personnel and consultant costs, incurred by ARCHEMIX to the extent set forth in an Annual Research Plan or Annual Development Plan or otherwise agreed to in writing by MERCK.
