RCM. RCM shall indemnify, defend and hold harmless Acquiree and Acquiree Shareholders from and against any and all Claims incurred by the Acquiree and/or any Acquiree Shareholder which arise out of or result from misrepresentation, breach of warranty or breach of any covenant of RCM contained herein or in the Schedules annexed hereto or in any other documents or instruments furnished by RCM pursuant hereto or in connection with the transactions contemplated hereby or thereby.
RCM. A. will make referrals to the BOARD of any known child suspected of having disabilities 90 days prior to the child’s third birthday, or immediately for children 3-5 years of age.
RCM. All references in the Agreement to “XXX” are hereby amended to mean and refer 16 to RCM.
