Rating Agency Fees. The Seller shall promptly pay the initial fees of S&P and Xxxxx'x with respect to the Notes and the transactions contemplated hereby following receipt of a statement with respect thereto. All periodic and subsequent fees of S&P or Xxxxx'x with respect to, and directly allocable to, the Notes shall be for the account of, and shall be billed to the Seller. The fees for any other rating agency shall be paid by the party requesting such other agency's rating.
