Common use of RATIFICATION OF PERFECTION CERTIFICATE Clause in Contracts

RATIFICATION OF PERFECTION CERTIFICATE. Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and disclosures contained in a certain Perfection Certificate dated as of December 30, 2019, as amended as set forth on Schedule 3 attached hereto (as amended, the “Perfection Certificate”), between Borrower and Bank, and acknowledges, confirms and agrees the disclosures and information Borrower provided to Bank in said Perfection Certificate have not changed, as of the date hereof, except as set forth on Schedule 3 attached hereto.

RATIFICATION OF PERFECTION CERTIFICATE. Borrower hereby ratifies, confirms and reaffirms, all and singular, in all material respects, the terms and disclosures contained in a that certain Perfection Certificate dated as of December 30April 22, 2019, as amended 2020 and updates to such Perfection Certificate as set forth on in Schedule 3 A attached hereto to the Fourth Amendment (as amendedcollectively, the “Updated Perfection Certificate”), between Borrower and Bank, and acknowledges, confirms and agrees that the disclosures and information Borrower provided to Bank in said such Updated Perfection Certificate have not changed, changed as of the date hereof, except as set forth on Schedule 3 attached hereto.

RATIFICATION OF PERFECTION CERTIFICATE. Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and disclosures contained in a certain Perfection Certificate dated as of December 30June 12, 20192014, as amended as set forth on by that certain Schedule 3 attached hereto (as amended, 2 to the “Perfection Certificate”)Second Amendment, between Borrower and Bank, and acknowledges, confirms and agrees the disclosures and information Borrower provided to Bank in said Perfection Certificate have not changedchanged in any material respect, as of the date hereof, except as set forth on Schedule 3 attached hereto.

RATIFICATION OF PERFECTION CERTIFICATE. Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and disclosures contained in a certain Perfection Certificate dated as of December 30September 19, 20192017, as amended as set forth on Schedule 3 attached hereto (as amended, supplemented by the “Perfection Certificate”), between Borrower additional disclosures made in connection with the First Amendment and Bankthe Second Amendment, and acknowledges, confirms and agrees that the disclosures and information Borrower provided to Bank in said such Perfection Certificate Certificate, as supplemented, have not materially changed, as of the date hereof, except as set forth on Schedule 3 attached hereto.A.

RATIFICATION OF PERFECTION CERTIFICATE. Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and disclosures contained in a certain Perfection Certificate of Borrower dated as of December 30dated as of November 9, 20192016, as amended by Schedule 2 to that certain First Amendment to Loan and Security Agreement dated as set forth on Schedule 3 attached hereto (as amendedof November 26, the “Perfection Certificate”), 2018 between Borrower and BankSVB, and acknowledges, confirms and agrees the disclosures and information Borrower provided to Bank Agent in said Perfection Certificate have not changed, as of the date hereof, except as set forth on Schedule 3 attached hereto.
