RATIFICATION OF PERFECTION CERTIFICATE. Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and disclosures contained in a certain Perfection Certificate dated on or prior to the Effective Date and acknowledges, confirms and agrees that the disclosures and information Borrower provided to Bank in such Perfection Certificate have not changed, as of the date hereof.

RATIFICATION OF PERFECTION CERTIFICATE. Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and disclosures contained in a certain Perfection Certificate dated on or prior to the Effective Date about September 14, 2016, and acknowledges, confirms and agrees that the disclosures and information Borrower provided to Bank in such Perfection Certificate have not changed, as of the date hereof.

RATIFICATION OF PERFECTION CERTIFICATE. Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and disclosures contained in a certain Perfection Certificate dated on or prior to the Effective Date as of January 25, 2017, and acknowledges, confirms and agrees that the disclosures and information Borrower provided to Bank in such Perfection Certificate have not changed, as of the date hereof.

RATIFICATION OF PERFECTION CERTIFICATE. Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and disclosures contained in a certain Perfection Certificate dated on or prior to the Effective Date as of October 21, 2021, and acknowledges, confirms and agrees that the disclosures and information Borrower provided to Bank in such Perfection Certificate have not changedchanged (other than as set forth in written notices to Bank), as of the date hereof.

RATIFICATION OF PERFECTION CERTIFICATE. Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and disclosures contained in a certain Perfection Certificate dated on or prior to the Effective Date and acknowledges, confirms and agrees that the disclosures and information Borrower provided to Bank in such Perfection Certificate have not changed, as of the date hereof, with the exception of inclusion of Addendum 1 to the Perfection Certificate attached hereto.

RATIFICATION OF PERFECTION CERTIFICATE. Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and disclosures contained in a certain Perfection Certificate dated on or prior to about the Eighth Amendment Effective Date Date, and acknowledges, confirms and agrees that the disclosures and information Borrower provided to Bank in such said Perfection Certificate have not changed, as of the date hereof.

RATIFICATION OF PERFECTION CERTIFICATE. Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and disclosures contained in a certain Perfection Certificate dated on or prior to as of the Effective Date between Borrower and Bank, and acknowledges, confirms and agrees that agrees, except as noted in Section 4.3 above, the disclosures and information above Borrower provided to Bank in such said Perfection Certificate have not changed, as of the date hereof.

RATIFICATION OF PERFECTION CERTIFICATE. Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and disclosures contained in a certain Perfection Certificate dated on or prior to the Effective Date and acknowledges, confirms and agrees that the disclosures and information Borrower provided to Bank in such Perfection Certificate have not changed, as of the date hereof, with the exception of inclusion of Addendum 1 delivered in connection with the Second Amendment to Loan and Security Agreement.

RATIFICATION OF PERFECTION CERTIFICATE. Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and disclosures contained in a certain Perfection Certificate dated on or prior to the Effective Date and acknowledges, confirms and agrees that the disclosures and information Borrower provided to Bank Agent in such Perfection Certificate have not changed, as of the date hereof.

RATIFICATION OF PERFECTION CERTIFICATE. Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and disclosures contained in a certain Perfection Certificate dated on or prior to the Effective Date as of June 28, 2017, and acknowledges, confirms and agrees that the disclosures and information Borrower provided to Bank in such Perfection Certificate have not changed, as of the date hereof.

RATIFICATION OF PERFECTION CERTIFICATE. Each Co-Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and disclosures contained in a certain Perfection Certificate dated on or prior to the Effective Date as of September 5, 2018 and acknowledges, confirms and agrees that the disclosures and information such Co-Borrower provided to Bank in such Perfection Certificate have not changed, as of the date hereof.

RATIFICATION OF PERFECTION CERTIFICATE. Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and disclosures contained in a certain Perfection Certificate dated on or prior to the Effective Date as of November 2, 2015, and acknowledges, confirms and agrees that the disclosures and information Borrower provided to Bank in such Perfection Certificate have not changed, as of the date hereof.

RATIFICATION OF PERFECTION CERTIFICATE. Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and disclosures contained in a certain Perfection Certificate dated on or prior to the Effective Date and acknowledges, confirms and agrees that the disclosures and information Borrower provided to Bank Lenders in such Perfection Certificate have not changed, as of the date hereof.

RATIFICATION OF PERFECTION CERTIFICATE. Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and disclosures contained in a certain Perfection Certificate dated on or prior to the Effective Date as of May 13, 2015 between Borrower and Bank, and acknowledges, confirms and agrees that the disclosures and information Borrower provided to Bank in such said Perfection Certificate have not changed, as of the date hereof.

RATIFICATION OF PERFECTION CERTIFICATE. Each Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and disclosures contained in a certain Perfection Certificate dated on or prior previously delivered by such Borrower to the Effective Date Bank, and acknowledges, confirms and agrees that the disclosures and information each Borrower provided to Bank in such said Perfection Certificate have not changed, as of the date hereof, except as updated as of the date hereof.

RATIFICATION OF PERFECTION CERTIFICATE. Except as set forth on Schedule 2 attached hereto, Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and disclosures contained in a certain Perfection Certificate dated on or prior to the Effective Date as of June 12, 2020, and acknowledges, confirms and agrees that the disclosures and information Borrower provided to Bank in such said Perfection Certificate have not changed, as of the date hereof.

RATIFICATION OF PERFECTION CERTIFICATE. Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and disclosures contained in a certain Perfection Certificate dated on or prior between Borrower and Bank previously delivered to the Effective Date Bank, and acknowledges, confirms and agrees that the disclosures and information Borrower provided to Bank in such said Perfection Certificate have not changedchanged in any material respect, as of the date hereof, except for any changes of which Borrower has notified Bank in writing in accordance with the terms of the Loan Agreement.

RATIFICATION OF PERFECTION CERTIFICATE. Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and disclosures contained in a certain Perfection Certificate dated on or prior to the Effective Date as of March 1, 2022, and acknowledges, confirms and agrees that the disclosures and information Borrower provided to Bank in such Perfection Certificate have not changedchanged (other than as set forth in written notices to Bank), as of the date hereof.

RATIFICATION OF PERFECTION CERTIFICATE. Each Co-Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and disclosures contained in a certain Perfection Certificate dated on or prior to the Effective Date and acknowledges, confirms and agrees that the disclosures and information of such Co-Borrower provided to Bank in such Perfection Certificate have not changed, as of the date hereof.

RATIFICATION OF PERFECTION CERTIFICATE. Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and disclosures contained in a certain Perfection Certificate dated on or prior to the Effective Date as of July 21, 2014 between Borrower and Bank, and acknowledges, confirms and agrees that the disclosures and information Borrower provided to Bank in such said Perfection Certificate have not changed, as of the date hereof, except as set forth on Schedule 4 hereto.

RATIFICATION OF PERFECTION CERTIFICATE. Except as set forth on Schedule 2 to the Fifth Amendment, Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and disclosures contained in a certain Perfection Certificate dated on or prior to the Effective Date as of November 2, 2015, and acknowledges, confirms and agrees that the disclosures and information Borrower provided to Bank in such Perfection Certificate have not changed, as of the date hereof.

RATIFICATION OF PERFECTION CERTIFICATE. Each Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and disclosures contained in a those certain Perfection Certificate Certificates dated on or prior to the Fifth Amendment Effective Date and acknowledges, confirms and agrees that the disclosures and information Borrower provided to Bank in such Perfection Certificate have not changed, as of the date hereof.

RATIFICATION OF PERFECTION CERTIFICATE. Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and disclosures contained in a certain Perfection Certificate dated on or prior as of June 12, 2014, as amended by that certain Schedule 2 to the Effective Date Second Amendment, between Borrower and Bank, and acknowledges, confirms and agrees that the disclosures and information Borrower provided to Bank in such said Perfection Certificate have not changedchanged in any material respect, as of the date hereof.

RATIFICATION OF PERFECTION CERTIFICATE. Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and disclosures contained in a certain Perfection Certificate dated on or prior to the Effective Date as of June 12, 2014 between Borrower and Bank, and acknowledges, confirms and agrees that the disclosures and information Borrower provided to Bank in such said Perfection Certificate have not changed, as of the date hereof.

RATIFICATION OF PERFECTION CERTIFICATE. Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and disclosures contained in a certain Perfection Certificate dated on or prior to the Effective Date as of May 24, 2013 between Borrower and Bank, and acknowledges, confirms and agrees that the disclosures and information Borrower provided to Bank in such said Perfection Certificate have not changed, as of the date hereof, except as set forth on Schedule 2 attached hereto.

RATIFICATION OF PERFECTION CERTIFICATE. Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and disclosures contained in a certain Perfection Certificate of Borrower dated on or prior to the Effective Date as of December 30, 2021, and acknowledges, confirms and agrees that the disclosures and information Borrower provided to Bank in such said Perfection Certificate have not changed, as of the date hereof.

RATIFICATION OF PERFECTION CERTIFICATE. Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and disclosures contained in a certain Perfection Certificate dated on or prior to the Effective Date and acknowledges, confirms and agrees that the disclosures and information Borrower provided to Bank in such Perfection Certificate have not changed, as of the date hereof, except such changes permitted under the Loan Agreement.

RATIFICATION OF PERFECTION CERTIFICATE. Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and disclosures contained in a certain Perfection Certificate of Borrower dated on or prior to the Effective Date as of August 2, 2019, and acknowledges, confirms and agrees that the disclosures and information Borrower provided to Bank Agent and Lenders in such Perfection Certificate have not changed, as of the date hereof, except for previously delivered updates to the Patent and Trademark Schedule provided to Agent pursuant to Section 6.2 of the Credit Agreement.

RATIFICATION OF PERFECTION CERTIFICATE. Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and disclosures contained in a certain Perfection Certificate dated on or prior to the Effective Date as of December 7, 2012 between Borrower and Bank, and acknowledges, confirms and agrees that the disclosures and information Borrower provided to Bank in such said Perfection Certificate have not changed, as of the date hereof, except as set forth on Schedule 1 attached hereto.

RATIFICATION OF PERFECTION CERTIFICATE. Each Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and disclosures contained in a certain Perfection Certificate dated on or prior as of June 10, 2014 delivered by Borrower to Bank (the Effective Date “Perfection Certificate”), and acknowledges, confirms and agrees that the disclosures and information Borrower provided to Bank in such the Perfection Certificate have not changed, as of the date hereof.

RATIFICATION OF PERFECTION CERTIFICATE. Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and disclosures contained in a certain Perfection Certificate dated on or prior to the Effective Date as of December 4, 2015 between Borrower and Bank, and acknowledges, confirms and agrees that the disclosures and information Borrower provided to Bank in such said Perfection Certificate have not changed, as of the date hereof. Borrower and Bank hereby acknowledge and agree that all references in the Loan Agreement to “Perfection Certificate” shall mean and include the Perfection Certificate as described herein.

RATIFICATION OF PERFECTION CERTIFICATE. Borrower hereby ratifies, confirms and reaffirms, all and singular, reaffirms the terms and disclosures contained in a certain the Perfection Certificate dated on or prior most recently delivered to the Effective Date and acknowledges, confirms and agrees that the disclosures and information Borrower provided to Bank in such Perfection Certificate have not changed, as of the date hereofBank.

RATIFICATION OF PERFECTION CERTIFICATE. Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and disclosures contained in a certain Perfection Certificate dated on or prior as of October 31, 2013 delivered by Borrower to Bank, subject to such changes as have been previously reported to the Effective Date Bank through the date hereof and acknowledges, confirms and agrees that the disclosures and information above Borrower provided to Bank in such said Perfection Certificate and otherwise have not changed, as of the date hereof.

RATIFICATION OF PERFECTION CERTIFICATE. Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and disclosures contained in a certain Perfection Certificate dated on or prior as of September 27, 2013, and updated as of October __, 2014, previously delivered by Borrower to the Effective Date Bank, and acknowledges, confirms and agrees that the disclosures and information above Borrower provided to Bank in such said Perfection Certificate have not changed, as of the date hereof.

RATIFICATION OF PERFECTION CERTIFICATE. Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and disclosures contained in a certain Perfection Certificate dated on or prior to the Effective Date ___________ and attached hereto as Exhibit E between Borrower and Bank, and acknowledges, confirms and agrees that except as set forth on the Schedule hereto, the disclosures and information Borrower provided to Bank in such the Perfection Certificate have has not changed, as of the date hereof.

RATIFICATION OF PERFECTION CERTIFICATE. Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and disclosures contained in a that certain Perfection Certificate of Borrower dated on or prior to as of October 23, 2018 (the Effective Date “Perfection Certificate”) and acknowledges, confirms and agrees that the disclosures and information Borrower provided to Bank in such the Perfection Certificate have not changed, as of the date hereof.

RATIFICATION OF PERFECTION CERTIFICATE. Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and disclosures contained in a certain Perfection Certificate dated on or prior to the Effective Date as of January 17, 2012, between Borrower and Lenders, and acknowledges, confirms and agrees that the disclosures and information Borrower provided to Bank Lenders in such said Perfection Certificate have not changed, as of the date hereof.

RATIFICATION OF PERFECTION CERTIFICATE. Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and disclosures contained in a certain Perfection Certificate dated on or prior to the as of First Amendment Effective Date Date, and acknowledges, confirms and agrees that the disclosures and information Borrower provided to Bank in such Perfection Certificate have not changed, as of the date hereof.

RATIFICATION OF PERFECTION CERTIFICATE. Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and disclosures contained in a certain Perfection Certificate dated on or prior to the Effective Date as of July 30, 2020, and acknowledges, confirms and agrees that the disclosures and information Borrower provided to Bank in such Perfection Certificate have not changedchanged (other than as set forth in written notices to Bank), as of the date hereof.

RATIFICATION OF PERFECTION CERTIFICATE. Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and disclosures contained in a that certain Perfection Certificate dated on or prior to the Effective Date delivered to Agent by Borrower and acknowledges, confirms and agrees that the disclosures and information Borrower provided to Bank Agent in such Perfection Certificate have not changed, as of the date hereof.

RATIFICATION OF PERFECTION CERTIFICATE. Except as affected by the terms of the Transaction, Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and disclosures contained in a certain Perfection Certificate dated on or prior to the Effective Date as of April 5, 2016, and acknowledges, confirms and agrees that the disclosures and information Borrower provided to Bank in such Perfection Certificate have not changed, as of the date hereof.

RATIFICATION OF PERFECTION CERTIFICATE. Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and disclosures contained in a certain Perfection Certificate of Borrower dated on or prior to the Effective Date as of March 19, 2021, and acknowledges, confirms and agrees that the disclosures and information Borrower provided to Bank in such said Perfection Certificate have not changed, as of the date hereof, except as set forth on Schedule 1 attached to this Amendment.

RATIFICATION OF PERFECTION CERTIFICATE. Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and disclosures contained in a certain Perfection Certificate dated as of June 6, 2016, as supplemented by subsequent disclosures made by Borrower to Agent on or prior to the Effective Date date hereof, and acknowledges, confirms and agrees that the disclosures and information Borrower provided to Bank Agent in such Perfection Certificate Certificate, as supplemented through the date hereof, have not changed, as of the date hereof.

RATIFICATION OF PERFECTION CERTIFICATE. Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and disclosures contained in a certain Perfection Certificate of Borrower dated on or prior as of April 10, 2018, delivered to the Effective Date Bank by Borrower, and acknowledges, confirms and agrees that the disclosures and information Borrower provided to Bank in such said Perfection Certificate have not changed, as of the date hereof.

RATIFICATION OF PERFECTION CERTIFICATE. Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and disclosures contained in a certain Perfection Certificate of Borrower dated on or prior to the Effective Date as of August 2, 2019 and acknowledges, confirms and agrees that the disclosures and information Borrower provided to Bank in such said Perfection Certificate have not changed, as of the date hereof.

RATIFICATION OF PERFECTION CERTIFICATE. Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and disclosures contained in a certain Perfection Certificate dated on or prior to the Effective Date and acknowledges, confirms and agrees that the disclosures and information Borrower provided to Bank in such Perfection Certificate have not changed, as of the date hereof, except (i) such changes permitted under the Loan Agreement and (ii) with respect to Lantronix OMB.

RATIFICATION OF PERFECTION CERTIFICATE. Each Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and disclosures contained in a certain its respective Perfection Certificate dated on or prior to the Effective Date Certificate, and acknowledges, confirms and agrees that the disclosures and information that each Borrower provided to Bank in such its respective Perfection Certificate have not changed, as of the date hereof.

RATIFICATION OF PERFECTION CERTIFICATE. Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and disclosures contained in a certain Perfection Certificate dated on or prior as of November 7, 2017, as amended by Schedule 1 to the Effective Date First Amendment (the “Perfection Certificate”), and acknowledges, confirms and agrees that the disclosures and information Borrower provided to Bank in such the Perfection Certificate have not changed, as of the date hereof.

RATIFICATION OF PERFECTION CERTIFICATE. Except as set forth on Schedule 2 hereto, Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and disclosures contained in a certain Perfection Certificate dated on or prior to the Effective Date as of November 2, 2015, and acknowledges, confirms and agrees that the disclosures and information Borrower provided to Bank in such Perfection Certificate have not changed, as of the date hereof.

RATIFICATION OF PERFECTION CERTIFICATE. Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and disclosures contained in a certain Perfection Certificate dated on or prior to the Effective Date as of October 30, 2020, and acknowledges, confirms and agrees that the disclosures and information Borrower provided to Bank in such Perfection Certificate have not changed, as of the date hereof.

RATIFICATION OF PERFECTION CERTIFICATE. Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and disclosures contained in a certain Perfection Certificate dated on or prior to the Effective Date as of October 3, 2012 between Borrower and Bank, and acknowledges, confirms and agrees that the disclosures and information Borrower provided to Bank in such said Perfection Certificate have not changed, as of the date hereof.

RATIFICATION OF PERFECTION CERTIFICATE. Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and disclosures contained in a certain Perfection Certificate ​ dated on or prior to the Effective Date as of August 5, 2019, and acknowledges, confirms and agrees that the disclosures and information Borrower provided to Bank in such Perfection Certificate have not changed, as of the date hereof.

RATIFICATION OF PERFECTION CERTIFICATE. Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and disclosures contained in a certain Perfection Certificate dated on or prior to the Effective Date and acknowledges, confirms and agrees that the disclosures and information Borrower provided to Bank Lenders in such Perfection Certificate have not changed, as of the date hereof, with the exception of inclusion of Addendum 1 to the Perfection Certificate attached hereto.

RATIFICATION OF PERFECTION CERTIFICATE. Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and disclosures contained in a certain Perfection Certificate dated on or prior to the Effective Date as of June 12, 2014 between Borrower and Bank, and acknowledges, confirms and agrees that the disclosures and information Borrower provided to Bank in such said Perfection Certificate have not changed, as of the date hereof, except as set forth on Schedule 2 attached hereto.

RATIFICATION OF PERFECTION CERTIFICATE. Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and disclosures contained in a certain Perfection Certificate dated on or prior to the Effective Date and acknowledges, confirms and agrees that the disclosures and information Borrower provided to Bank in such Perfection Certificate have not changedchanged in any material respect, as of the date hereof.

RATIFICATION OF PERFECTION CERTIFICATE. Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and disclosures contained in a certain Perfection Certificate dated on or prior as of October 31, 2013 delivered by Borrower to the Effective Date Bank, and acknowledges, confirms and agrees that the disclosures and information above Borrower provided to Bank in such said Perfection Certificate have not changed, as of the date hereof.

RATIFICATION OF PERFECTION CERTIFICATE. Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and disclosures contained in a certain Perfection Certificate dated on or prior as of August 31, 2014 delivered by Borrower to the Effective Date Bank, and acknowledges, confirms and agrees that the disclosures and information Borrower provided to Bank in such said Perfection Certificate have not changed, as of the date hereof.

RATIFICATION OF PERFECTION CERTIFICATE. Each Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and disclosures contained in a that certain Perfection Certificate of such Borrower dated on or prior to the Effective Date as of May 4, 2020 and acknowledges, confirms and agrees that the disclosures and information Borrower provided to Bank in such Perfection Certificate have not changed, as of the date hereof.

RATIFICATION OF PERFECTION CERTIFICATE. Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and disclosures contained in a certain Perfection Certificate dated on or prior to as of September 19, 2017, as supplemented by the Effective Date additional disclosures made in connection with the First Amendment, and acknowledges, confirms and agrees that the disclosures and information Borrower provided to Bank in such Perfection Certificate Certificate, as supplemented, have not materially changed, as of the date hereof., except as set forth on Schedule A.

RATIFICATION OF PERFECTION CERTIFICATE. Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and disclosures contained in a certain Perfection Certificate of Borrower dated on or prior to the Effective Date as of August 23, 2023, and acknowledges, confirms and agrees that the disclosures and information Borrower provided to Bank in such said Perfection Certificate have not changed, as of the date hereof.

RATIFICATION OF PERFECTION CERTIFICATE. Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and disclosures contained in a certain Perfection Certificate of Borrower dated on or prior to the Effective Date as of December 30, 2021, and acknowledges, confirms and agrees that the disclosures and information Borrower provided to Bank in such said Perfection Certificate have not changed, as of the date hereof, except to the extent set forth on Schedule A attached hereto.

RATIFICATION OF PERFECTION CERTIFICATE. Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and disclosures contained in a certain Perfection Certificate dated on or prior to the Effective Date as of June 8, 2018, and acknowledges, confirms and agrees that the disclosures and information Borrower provided to Bank in such Perfection Certificate have not changed, as of the date hereof.

RATIFICATION OF PERFECTION CERTIFICATE. Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and disclosures contained in a certain Perfection Certificate dated on or prior to the Effective Date as of November 6, 2019, and acknowledges, confirms and agrees that the disclosures and information Borrower provided to Bank in such said Perfection Certificate have not changed, as of the date hereof.

RATIFICATION OF PERFECTION CERTIFICATE. Each Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and disclosures contained in a certain Perfection Certificate dated on or prior to the Effective Date as of June 29, 2012 between such Borrower and Bank, and acknowledges, confirms and agrees that the disclosures and information such Borrower provided to Bank in such said Perfection Certificate have not changed, as of the date hereof.

RATIFICATION OF PERFECTION CERTIFICATE. Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and disclosures contained in a certain Perfection Certificate dated on or prior to the Effective Date as of March 20, 2015 between Borrower and Bank, and acknowledges, confirms and agrees that the disclosures and information Borrower provided to Bank in such said Perfection Certificate have not changed, as of the date hereof.

RATIFICATION OF PERFECTION CERTIFICATE. Each Co-Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and disclosures contained in a those certain Perfection Certificate Certificates dated on or prior to the Effective Date and acknowledges, confirms and agrees that that, except as set forth on Schedule 1 hereto, the disclosures and information such Co-Borrower provided to Bank in such Perfection Certificate have not changed, as of the date hereof.

RATIFICATION OF PERFECTION CERTIFICATE. Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and disclosures contained in a certain Perfection Certificate dated on or prior to the Effective Date as of May 7, 2021 between Borrower and Bank, and acknowledges, confirms and agrees that the disclosures and information Borrower provided to Bank in such said Perfection Certificate have not changed, as of the date hereof.

RATIFICATION OF PERFECTION CERTIFICATE. Each Co-Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and disclosures contained in a certain Perfection Certificate dated on or prior to the Effective Date and acknowledges, confirms and agrees that the disclosures and information that each Co-Borrower provided to Bank in such Perfection Certificate have not changed, as of the date hereof, with the exception of inclusion of Addendum 1 to the Perfection Certificate attached hereto.

RATIFICATION OF PERFECTION CERTIFICATE. Each Co-Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and disclosures contained in a certain Perfection Certificate dated on or prior to the Effective Date and acknowledges, confirms and agrees that the disclosures and information such Co-Borrower provided to Bank in such Perfection Certificate have not changed, as of the date hereof.

RATIFICATION OF PERFECTION CERTIFICATE. Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and disclosures contained in a certain the Perfection Certificate dated on or prior to the Effective Date and acknowledges, confirms and agrees that the disclosures and information Borrower provided to Bank SVB in such the Perfection Certificate have not changed, as of the date hereofEffective Date.

RATIFICATION OF PERFECTION CERTIFICATE. Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and disclosures contained in a certain Perfection Certificate dated on or prior to the Effective Date as of May 7, 2021, and acknowledges, confirms and agrees that the disclosures and information Borrower provided to Bank in such Perfection Certificate have not changed, as of the date hereof.

RATIFICATION OF PERFECTION CERTIFICATE. Each Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and disclosures contained in a certain Perfection Certificate Certificates dated on or prior to the Effective Date as of May 30, 2013, and acknowledges, confirms and agrees that that, except as set forth on Schedule 2 hereto, the disclosures and information such Borrower provided to Bank in such said Perfection Certificate Certificates have not changed, as of the date hereof.

RATIFICATION OF PERFECTION CERTIFICATE. Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and disclosures contained in a certain Perfection Certificate dated on or prior to the Effective Date as of February 18, 2015 between Borrower and Bank, and acknowledges, confirms and agrees that the disclosures and information Borrower provided to Bank in such said Perfection Certificate have not changed, as of the date hereof.

RATIFICATION OF PERFECTION CERTIFICATE. Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and disclosures contained in a certain Perfection Certificate dated on or prior to the Effective Date as of August 5, 2019, and acknowledges, confirms and agrees that the disclosures and information Borrower provided to Bank in such Perfection Certificate have not changed, as of the date hereof.

RATIFICATION OF PERFECTION CERTIFICATE. Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and disclosures contained in a certain Perfection Certificate dated on or prior to as of the Effective Date date hereof and acknowledges, confirms and agrees that the disclosures and information Borrower provided to Bank Agent in such Perfection Certificate have not changed, as of the date hereof.

RATIFICATION OF PERFECTION CERTIFICATE. Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and disclosures contained in a certain Perfection Certificate dated on or prior to about the Effective Date date hereof (the “Updated Perfection Certificate”) and acknowledges, confirms and agrees that the disclosures and information Borrower provided to Bank in such Updated Perfection Certificate have not changedchanged in any material respect, as of the date hereof. All references in the Loan Agreement and the Loan Documents to “Perfection Certificate” shall hereinafter be deemed to be a reference to the Updated Perfection Certificate.

RATIFICATION OF PERFECTION CERTIFICATE. Existing Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and disclosures contained in a certain Perfection Certificate dated on or prior as of September 27, 2013 and updated as of October 28, 2014, previously delivered by Existing Borrower to the Effective Date Bank, and acknowledges, confirms and agrees that the disclosures and information Existing Borrower provided to Bank in such said Perfection Certificate have not changed, as of the date hereof.

RATIFICATION OF PERFECTION CERTIFICATE. Each Co-Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and disclosures contained in a certain the Perfection Certificate dated on or delivered prior to the Effective Date date hereof and acknowledges, confirms and agrees that the disclosures and information that each Co-Borrower provided to Bank in such Perfection Certificate have not changed, as of the date hereof.
