Questionable Activities. Neither ERC nor any ERC Sub that owns a Retirement Community has directly or indirectly: (a) made any unlawful contribution, gift, entertainment, bribe, kickback, rebate, payoff or other payment to any Person in connection with the Business; (b) established or maintained any unlawful or unrecorded fund of any such ERC Company monies or other assets; or (c) made any false or fictitious entry on the books or records of any such ERC Company.
