Purpose Term. This Agreement has been executed and the deposit of the Escrow Proceeds hereunder shall be made pursuant to Section 2.5 of the Asset Purchase Agreement. The deposit of the Escrow Proceeds has been made for the purpose of funding and securing, to the extent of the Escrow Proceeds, the Escrow Fund Obligations until the close of business on the one hundred eightieth (180th) day after the date hereof (the "Termination Date").
Purpose Term. The State of Florida Department of Management Services’ Division of State Purchasing (“the Department”) is requesting proposals from responsible Respondents to establish a State Term Contract for Office and Educational Consumables. The initial term of the expected State Term Contract will be for three (3) years, with the potential option for renewals as allowed by Section 287.057 (14)(a), Florida Statutes. The initial contract term is anticipated to begin on July 1, 2010. Eligible Users of the new State Term Contract would include Florida state agencies, counties, cities, universities, colleges and Other Eligible Users as defined in Rule 60A-1.005, Florida Administrative Code (FAC). Respondents should carefully review all Sections of this ITN with particular attention to Xxxxxxx 0 (XXX 0000), Xxxxxxx 0 (XXX 1000), and Section 5 (Special Contract Conditions). All Sections of this ITN must be accepted and will be incorporated into the Contract without modification. The State’s MyFloridaMarketPlace e-Procurement system Sourcing Tool (“MFMP Sourcing Tool”) will be used to conduct this competitive event.

The purpose of the Partnership shall be to engage in any one or more enterprises, ventures, undertakings and businesses permissible under applicable laws, including the making, protecting, enhancing and otherwise dealing with investments of whatever nature in property, whether real or personal, including but not limited to investments in common and preferred stock, puts and calls, convertible bonds, bonds, debentures, commodities and interests in existing businesses, and to do all other things proper and necessary to effect such purposes. The term of the Partnership shall commence on the date a Certificate of Limited Partnership is filed with the Secretary of State of the State of Delaware and shall continue until December 31, 2047, unless earlier dissolved as provided herein.
Purpose Term. The Library is a non-profit organization and is organized exclusively for charitable and educational purposes, including the operation of Xxxxxxx Public Library that serves County taxpayers. The operations of the Library are managed by Library Trustees (collectively, the “Trustees”, individually, each, a “Trustee”) who have the authority to appoint officers, employ personnel, and make decisions on how the Xxxxxxx Public Library operates. The Warren County Board of Supervisors (the “Supervisors”) governs the County. The purpose of this Agreement is to establish the terms and conditions upon which the Library shall receive County funds, as County taxpayers contribute approximately 90% of the Library’s operational funding.

The business of the Partnership shall be conducted in such a way that the Partnership qualifies and continues to qualify throughout its existence for the benefits of the special partnership provisions of Subchapter K of Chapter Three (3) of Subtitle A of the Puerto Rico Internal Revenue Code of Nineteen Hundred Ninety-Four (1994) and regulations thereunder, as said code and regulations may be amended from time to time, and to execute and file all sworn statements, applications, documents and certificates with the Secretary of the Treasury of the Commonwealth of Puerto Rico in order for the Partnership to elect and maintain such benefits.
Purpose Term. This Agreement shall apply to all orders for assembly and other services to be provided by SELLER to BUYER from the Effective Date hereof until December 31, 2006, unless otherwise terminated as provided herein. Unless notice of termination is given by either party upon ninety (90) days prior written notice, this Agreement shall be automatically renewed for successive one year periods until its termination.
Purpose Term. This Agreement is intended to set forth the roles Broker and Xxxx with respect to Client’s trading through Broker on Xxxx’x PaaS DMA Platform (the “Platform”), including Broker’s risk management controls over Client’s use of the Platform with respect to trading through Broker. This Agreement is not a part of Client’s license with Xxxx nor Client’s account agreements with Broker, and neither Xxxx nor Broker shall be deemed a third-party beneficiary of, nor have any obligations to the other party hereto under the other’s agreement with Client, except to the extent expressly set forth in any such other agreement. The term of each Broker Framework Agreement shall be for the period during which a Client has the ability to enter live trades through the Platform.
Purpose Term. The State of Florida, Department of Management Services, Division of State Purchasing, invites interested Bidders to submit proposals in accordance with these solicitation documents. The purpose of this solicitation is to establish a forty-eight (48) month State Term Contract with the option for renewals per section 287.057 (14)(a.) for the purchase of Mainframe Software. The contract term is anticipated to begin on or about April 20, 2009. The State’s MyFloridaMarketPlace e-Procurement system (the “System”) will be used to conduct this competitive event.
Purpose Term. This Agreement sets forth the terms and conditions under which ITrackr agrees to license certain hosted “Click2Chat software as a service” and provide all other services, data import / export, monitoring, support, backup and recovery, change management, technology upgrades, and training necessary for RespondQ’s productive use of such software (the “Services”), as further set forth on an Exhibit A (sequentially numbered) in the form of the Exhibit A attached hereto or in other statements of “Click2Chat software as a service” work containing substantially similar information and identified as an Exhibit A. The Agreement and each Exhibit A shall remain in effect unless terminated as provided herein.
Purpose Term. The Company is formed for the object and purpose of, and the nature of the business to be conducted and promoted by the Company is, engaging in any lawful act or activity for which limited liability companies may be formed under the Act and engaging in any and all activities necessary or incidental to the foregoing. The term of the Company commenced on April 22, 2005. The existence of the Company will be perpetual, unless the Company is sooner dissolved pursuant to Section 9.
