PSA. Assignor and Assignee acknowledge and agree that this Assignment is being delivered under, and is subject to, all of the terms, conditions and limitations stated in the PSA. Nothing in this Assignment shall be deemed to supersede, enlarge or modify any of the provisions of the PSA. Should there be any conflict between the terms and provisions of this Assignment and the PSA, the terms and provisions of the PSA shall prevail.

ii. Company shall pay to AppDirect all outstanding Fees and other amounts incurred in relation to this PSA and any SOW within thirty (30) days of the termination or expiration date.
