Common use of Protective Arrangements Clause in Contracts

Protective Arrangements. In the event that either Party or any other member of its Group either determines on the advice of its counsel that it is required to disclose any Information pursuant to applicable law or receives any demand under lawful process or from any Governmental Authority to disclose or provide Information of the other Party (or any other member of the other Party’s Group) that is subject to the confidentiality provisions hereof, such Party shall, to the extent permitted by law, notify the other Party as soon as practicable prior to disclosing or providing such Information and shall cooperate, at the expense of the requesting Party, in seeking any reasonable protective arrangements requested by such other Party. Subject to the foregoing, the Person that received such request may thereafter disclose or provide Information to the extent required by such law (as so advised by counsel) or by lawful process or such Governmental Authority.

Protective Arrangements. In the event that either Party SG or Xxxxx Inc. or any other member of its Group their respective Subsidiaries either determines on the advice of its counsel that it is required to disclose any Information pursuant to applicable law or the rules or regulations of any Governmental Authority or receives any demand under lawful process or from any Governmental Authority to disclose or provide Information of the other another Party (or any other member of the such other Party’s GroupSubsidiaries) that is subject to the confidentiality provisions hereof, the Party contemplating such Party shall, to the extent permitted by law, disclosure shall notify the other Party as soon as practicable prior to disclosing or providing such Information and shall cooperate, cooperate at the expense of the requesting Party, Party in seeking any reasonable protective arrangements requested by such other Party. Subject to the foregoing, the Person Party that received such request request, or its Subsidiaries, may thereafter disclose or provide Information to the extent required by such law (as so advised by counsel) or by lawful process or such Governmental Authority.

In the event that either Party or any other member of its Group Subsidiaries either determines on the advice of its counsel that it is required to disclose any Information or Materials pursuant to applicable law or the rules or regulations of any Governmental Authority or receives any demand under lawful process or from any Governmental Authority to disclose or provide Information or Materials of the any other Party (or any other member of the other Party’s Group) that is subject to the confidentiality provisions hereof, such Party shall, to the extent permitted by law, shall notify the other Party as soon as practicable prior to disclosing or providing such Information and Materials and shall cooperate, cooperate at the expense of the requesting Party, Party in seeking any reasonable protective arrangements requested by such other Party. Subject to the foregoing, the Person Party that received such request request, or its Subsidiaries, may thereafter disclose or provide Information and Materials to the extent required by such law (as so advised by counsel) or by lawful process or such Governmental Authority.

In the event that either Party party or any other member of its Group Subsidiaries either determines on the advice of its counsel that it is required to disclose any Information information pursuant to applicable law or the rules or regulations of any Governmental Entity or receives any demand under lawful process or from any Governmental Authority Entity to disclose or provide Information information of the other Party (or any other member of the other Party’s Group) party that is subject to the confidentiality provisions hereof, such Party shallparty shall notify the other party prior to disclosing or providing such information, to the extent permitted by law, notify the other Party as soon as practicable prior to disclosing or providing such Information and shall cooperate, cooperate at the expense of the requesting Party, party in seeking any reasonable protective arrangements requested by such other Partyparty. Subject to the foregoing, the Person party that received such request request, or its Subsidiaries, may thereafter disclose or provide Information information to the extent required by such law (as so advised by counsel) or by lawful process or such Governmental AuthorityEntity.

In If the event that either Receiving Party or any other member of its Group either determines on the advice of its counsel that it is required to disclose any such Confidential Information pursuant to applicable law Law or receives any demand under lawful process or from any Governmental Authority to disclose or provide such Confidential Information of the other Disclosing Party (or any other member of the other Party’s Groupits Group members) that is subject to the confidentiality provisions hereof, such the Receiving Party shall, shall use commercially reasonable efforts to the extent permitted by law, notify the other Disclosing Party as soon as practicable prior to disclosing or providing such Confidential Information and shall cooperate, cooperate at the expense of the requesting Party, Disclosing Party in seeking any reasonable protective arrangements requested by such other the Disclosing Party. Subject to the foregoing, the Person that received such request Receiving Party may thereafter disclose or provide such Confidential Information to the extent required by such law Law (as so advised by counsel) or by lawful process or such Governmental Authority.
