Common use of Proprietary Information and Inventions Assignment Agreement Clause in Contracts

Proprietary Information and Inventions Assignment Agreement. The Company shall have provided evidence satisfactory to Purchaser that as of the Initial Closing each current and former employee, consultant and contractor of the Company and each of its Subsidiaries has entered into and executed a Proprietary Information Agreement or Consultant Proprietary Information Agreement, as applicable.

The Company shall have provided evidence in form and substance satisfactory to Purchaser Acquiror that as of the Initial Closing each current and former employee, consultant and contractor Employee of the Company and each of its Subsidiaries Company Subsidiary has entered into and executed a an Employee Proprietary Information Agreement or Consultant Proprietary Information Agreement, as applicable, and that such agreements remain in effect as of the Closing.
